The directors of member relations and human resources ensure that all questionnaires are completed, and reviewed for conflicts. Any questionnaires that disclose actual or potential conflicts are submitted to the Chief Executive Officer (CEO) and Board. Board members with a conflict of interest are required to recuse from any discussions or vote on matters giving rise to the conflict or potential conflict. Form 990, Part VI, Section B, line 15 NCSBN policy requires Board approval of CEO compensation arrangements in accordance with contractual provisions, market conditions, and performance assessment. The Board conducts an annual written performance appraisal of the CEO. The Board uses appropriate comparable data and documents the process. The CEO is responsible for staff compensation.
