The Executive Committee shall have authority to act for the board of directors on all matters except for the following, which shall be reserved for the board: selection and termination of the President/Dean; Director and Board-Officer election; changes in institutional mission and purposes; changes to these bylaws or to the charter or Articles of Incorporation; incurring of corporate indebtedness; sale of Law School assets or tangible property; adoption of the annual budget; and conferral of degrees. Material Difference in Voting Rights: The Executive Committee has eight regular voting members, and two Ex-officio members with a vote. The President and Dean is an ex-officio member without a vote. In situations where the full board cannot meet or vote, the Executive Committee, vis-a-vis the Bylaws, is provided authorization to act on behalf of the full board of directors except for certain items specified in the by-laws. Form 990, Part VI, Line 11b Review of form 990 by governing body Form 990 is prepared by an independent CPA firm and reviewed in detail by the organization's top management. The reviewed Form 990 is then provided to the board of directors prior to filing with the IRS.
