For more than 40 years, Visiting Nurses of Southwest Florida (VNA) has provided exceptional home health and private duty nursing care. Volunteers established the organization in 1966 in cooperation with the lee county public health department. Until March 2023, VNA was Medicare-certified under Florida license #HHN 21277096 and served Charlotte, Collier, Desoto, Hendry, Lee, and Sarasota counties. Additionally, the organization was accredited by the community health accreditation program (chap), the national leader in improving the quality of care in the home care industry. During the fiscal year, VNA ceased providing medical services and filed its final cost report on March 10, 2023. Care was provided in private residences or any place a person calls home. Services included skilled nursing care and home health aides as well as medication management, caregiver education, disease management, wound care, personal care, and physical, occupational, and speech therapies. Form 990-EZ, Part V, Line 34 Changes to governing documents Effective March 1, 2023, the Articles of Incorporation were amended to reflect the affiliation agreement between Visiting Nurses Association of SW Florida, Inc. (VNA), Hope Hospice and Community Services, Inc. (Hope; VNA's sole member), and chapters health system, Inc. (CHS). CHS became the sole member of Hope and the amended Articles of Incorporation provide that reserved rights and powers of the member shall be exercised only by CHS. Likewise, the bylaws were amended as of March 1, 2023. The amended bylaws lay out the following: - The number, composition, qualifications, authority, and duties of the governing body's voting members; - The number, composition, qualifications, authority, and duties of the organization's officers; - The role of the sole member in governance; - The provisions to amend the bylaws; - The quorum and voting rights requirements of the governing body members; and - The policies or procedures contained within the bylaws regarding compensation, conflicts of interest, and document retention.
