Form 990, Part VI, Section A, line 7a CTPA is organized and operated for the benefit of a class of performing arts institutions within the State of Texas, primarily with respect to those institutions within the greater metropolitan Houston area (the "Beneficiaries"). CTPA was formed with three named Beneficiaries acting as Representatives of the Beneficiaries. The named Representatives are Houston Symphony Society, Houston Ballet Foundation and Alley Theatre. CTPA was formed with two classes of Trustees: Public Trustees and Performing Arts Trustees. There are three Performing Arts Trustees and four Public Trustees resulting in a total of seven Trustees. Each of the three Representatives is responsible for appointing a Performing Arts Trustee. If there is a vacancy in the office of a Public Trustee, that vacancy shall be filled by the affirmative majority vote of all remaining Trustees, both Public Trustees and Performing Arts Trustees. However, if there are more Public Trustees entitled to vote than there are Performing Arts Trustees entitled to vote, only the same number of Public Trustees as there are Performing Arts Trustees shall be entitled to vote and the Public Trustee not entitled to vote shall be ascertained by lot. The governing bodies of the Beneficiaries may by official unanimous action remove any or all of the Public Trustees. The resulting vacancies shall be filled as noted above. In addition, each Representative may remove the Performing Arts Trustee appointed by such Representative.
