The organization's Executive Committee did not act on behalf of the full board during the year. Our Finance Committee then meets with a representative of the CPA Firm to review in detail the 990 return and our finance committee members have an opportunity to ask questions. The Finance Committee then makes a motion to approve the 990 and send to the Full Board for their review and approval. At the Full Board meeting, the Finance Chair presents the 990 and the board members have an opportunity to ask questions of staff. The Full Board then makes a motion to approve the 990 return. After Board approval, the Executive Director signs the 990 and the CPA Firm submits the 990 tax return. Form 990, Part VI, Section B, line 12c All board members and employees are covered by the conflict of interest policy. The Board of Directors and the Organization review the Conflict of Interest Policy on a monthly basis and investigate any possible conflicts that may occur. A board member is not allowed to vote on an issue where there is a conflict of interest. Employees are not allowed to purchase or make decisions related to a conflicting matter. Form 990, Part VI, Section B, line 15 We review the CHAMPS annual regional salary survey (which we input our information) and the annual survey of Associated Employers from Montana. This information is provided to the Board Chairman before annual review of Executive Director's compensation. The Executive Director reviews the same surveys before annual review of compensation of other key employees and management. Form 990, Part VI, Section C, line 19 The organization makes its governing documents, conflict of interest policy, and financial statements available upon request.
