Form 990, Part VI, Section A, line 7a The Institute's members elect the Board of Trustees, Regional Vice Presidents and Society Vice Presidents. Form 990, Part VI, Section A, line 7b Any change to the Constitution requires a vote by the members; members also elect the Board of Trustees and other key volunteer leaders. The Form 990 is reviewed by the three Presidents, the Financial Director and the Executive Director before filing. Every new hire is required to sign the policy and existing employees are updated as necessary. Form 990, Part VI, Section B, line 15 The process for evaluating the Executive Director and determining his compensation is defined in his employment contract, which was implemented by the Personnel Committee. The ED is evaluated on goals and objectives that the Personnel Committee establishes prior to the start of the fiscal year. The members of the Personnel Committee rate the performance of the Executive Director in each area. In addition, the Committee reviews benchmarking data, including comparable survey data from the Council of Engineering and Scientific Society Executives (CESSE), the American Society of Association Executives (ASAE), and other relevant data, including various surveys conducted on non-profit executive compensation. Relevant comparisons are drawn in the following categories: overall, southern region, 501(C)(3), budget size, staff size and tenure in position. This data is provided to the Personnel Committee between December and February. The Committee members meet with the ED in February and March to discuss the matter. The members of the Committee also meet privately without the ED. Based on the evaluation, ratings, survey data and discussions, the Committee reaches a decision regarding compensation. A letter is sent to the ED that is signed by all members of the Committee that states the decision. The letter is copied to Donna Calvert, IISE's COO, to ensure transparency.
