The payment is solely for her services to Livingston Healthcare. She is not compensated for her services as a director on the Foundation board of directors. Form 990, Part VI, Section A, line 1a The Executive Committee shall consist of the Board Chair, Vice Chair, Secretary, Treasurer, President, Chief Executive Officer of the Member, and immediate past Chair if he or she continues serving as a director, plus additional directors, in the discretion of the Board. Changes to the appointment, eligiblity, and removal of classes of the directors: a. The number of directors shall be fixed from time to time by action of the member to be no fewer than 6 or more than 18, b. The CEO of LHC and the Executive Director of the Corporation shall serve as ex-officio members without a vote, c. All directors, except the ex-officio directors, shall be elected for 3 year terms by the Corporate Member for terms beginning July 1 of the year in which the director is elected. d. The terms of the directors shall be staggered so that annually approximately 1/3 of the directors shall be elected. For the purpose of assuring that approximately 1/3 of the directors are elected each year, the Corporate member may provide for a term of less than 3 years for any newly elected director. e. It is annually reviewed and completed by the Board members. If there is a potential conflict that individual must recuse themselves from the decisions related to the potential conflict. The determination of conflict is made by the board chair and any other member/officers/staff that the chair wishes to consult.
