We seek to provide universal access to primary healthcare, reducing disparities in care and improving health in the communities we serve.In 1897, the Franciscan Sisters of the Sacred Heart founded an orphanage, the Society of El Hogar Feliz, for abandoned and neglected children in Los Angeles, which later became a clinic known as the Franciscan Clinic. In 1994, the Sisters transferred sponsorship of the Franciscan Clinic to the hospital it had also founded, Queen of Angels-Hollywood Presbyterian Medical Center. At the time of its sale in 1998, the hospital's four other outpatient clinics were merged into Franciscan Clinics and operated under the business name QueensCare Family Clinics. In 2003 QueensCare Family Clinics applied for and became a federally qualified health center (FQHC), requiring it to form a board of directors independent of the other QueensCare entities. As a federally qualified health center, QueensCare Health Centers is partially funded by grants from the U.S. Department of Health & Human Services, Health Resources & Services Administration and has been deemed under the Federal Tort Claims Act. QueensCare Health Centers also contracts with the County of Los Angeles to provide healthcare services to uninsured residents of Los Angeles. QueensCare Health Centers accepts Medi-Cal, Medicare and some private insurance, but treats all patients, regardless of ability to pay.QueensCare Health Centers operates five clinic locations in Los Angeles, California. The Centers and QueensCare formalized their partnership through the Q/QHC Healthcare Partners Amended and Restated Partnership Agreement, as amended (the "Partnership"). Under the terms of the Partnership agreement, the Centers has an annual commitment to provide approximately $6,750,000 of cash or services toward the Partnership's annual expenditures and QueensCare has an annual commitment to provide approximately $4,500,000 toward the Partnership's annual expenditures. Governed by the Partnership's Management Committee consisting of three members appointed by the Centers and two by QueensCare, the Partnership coordinates and directs services shared by the Centers and QueensCare and provides oversight to the Centers' operations. A Compensation Committee, comprised of independent Board members, reviews and recommends to the Board a wage scale proposed by the consultant from compensation data for similarly situated organizations. The scale includes each position, including the CEO and other top management officials. The Compensation Committee presents its findings and recommendations to the Board, and members are provided the opportunity to ask questions. A Board vote is taken to establish the new wage scale, with which each employee's compensation must comply. The wage scale is then reviewed annually by the Compensation Committee. The CEO's compensation amount is determined by the Board, based on the recommendation of the CEO Evaluation Committee comprised of independent Board members. The CEO Evaluation Committee reviews performance feedback submitted by each Board member annually. The amount of compensation paid to the CEO must comply with the wage scale established by the Compensation Committee. Deliberations of the Compensation Committee, the CEO Evaluation Committee and the Board are recorded in the organization's minute book.
