The Compensation Committee reviews studies completed by ORECA on compensation from like kind cooperatives in the state of Oregon (under 10,000 meters) and 990 Forms. The Compensation Committee then returns with their recommendation to the entire Board for final approval of compensation for the CEO/General Manager. Form 990, Part VI, Section A, Line 6 The cooperative has members, who are our customers, and who are the owners of the cooperative's equity. Form 990, Part VI, Section A, Line 7a The cooperative's members elect from within themselves seven (7) Directors, which consist of the governing body. Form 990, Part VI, Section A, Line 7b Yes, changes in the cooperative's by-laws are subject to approval by vote of the membership. Form 990, Part VI, Section B, Line 11b Yes, Management presented to, and the Board of Directors reviewed the 2022 Form 990 and its related schedules on April 27, 2023. The cooperative's Manager of Finance and Administration explained the various parts, and noted points of interest. Management responded to Directors' questions and inquiries. Form 990, Part VI, Section B, Line 12c Yes, the Board of Directors reviews all written policies at least every two years. In the due course of review, the policy on "Conflict of Interest" is discussed and revisited with Directors and Management. Compliance questions and issues are specifically addressed at this time, including when they arise in the course of business. Conflict of interest with other Directors is disclosed and Management reviews the responses for potential violations of the Conflict of Interest Policy, and for other indicators of independence impairment. Form 990, Part VI, Section B, Line 15 The Board of Directors conducts a formal annual evaluation of the Manager, which includes a compensation review. The Board of Directors authorize any compensation changes for the Manager. Form 990, Part VI, Section C, Line 19 The cooperative's Governing Documents, Conflict of Interest Policy, and Financial Statements are available to its Members/Owners at any time, upon written request. A Member/Owner may examine any such document at the cooperative office, and copies of said materials will be provided to them. The general public may request such documents at the headquarters office of the cooperative, or from one of the various public agencies with which the cooperative is required to file said documents and information returns.
