The Corporation's President/CEO and Legal Counsel shall serve as ex-officio members of the Executive Committee without voting authority. The Executive Committee shall monitor Board structures and processes. The Executive Committee shall consider ongoing financial, operational, compliance, and legal risks and how the Corporation manages them. The Executive Committee shall identify issues to be considered by the Board and make recommendations to the Board. The Executive Committee works with the authority of the Board and, accordingly, shall convene to resolve an urgent matter. Actions by the Executive Committee shall be reported to the Board and may be reviewed and ratified by the Board's resolution. However, no such review and ratification shall be required. The Executive Committee shall ensure that strong succession planning is in place for the President/CEO and work with the President/CEO to ensure that strong succession planning is in place for the top management team. The Executive Committee shall review the President/CEO's performance annually, report to the Board on such review, and make recommendations regarding the President/CEO's compensation. This review shall be written and part of the permanent records. Key tasks of this committee shall include acting as a collaboration center for the President/CEO, a forum for conversation, a panel for vetting strategic plans, and a critical decision-making entity. The Executive Committee may work as the liaison between the President/CEO and the Board and as a forum for the President/CEO and the Executive Committee to vet strategies, problem-solve, and polish presentations before they are submitted to the full Board.
