<Desc>Cumberland Medical Center ("Cumberland"), an acute-care hospital located on the Cumberland Plateau of Tennessee, has served the Cumberland community since 1950 and joined Covenant Health in 2014.SERVICECumberland offers specialized services not usually found in more rural areas, making health care resources more accessible to local residents. Currently licensed for 189 beds, Cumberland has more than 200 affiliated physicians working with nearly 700 employees and about 125 dedicated volunteers who deliver quality care to patients. Physician specialties include anesthesiology, cardiology, neurology, obstetrics, ophthalmology, oncology, orthopedics, pediatrics, radiology, radiation oncology and urology services.Cumberland served 125,108 patients in 2022. Of these, 120,904 were outpatients and 4,204 were inpatients with an average length-of-stay of 4.73 days.PUTTING PATIENTS FIRSTAdvanced medical and surgical care is provided at Cumberland, including telemetry-monitored beds and an intensive care unit. Additionally, Cumberland offers an outpatient diagnostics center, same-day surgery unit, cardiac and pulmonary rehab programs, a sleep disorders center, a breast center offering 3D mammography, a cancer center, and hyperbaric and wound care. The hospital also has a 12-bed maternity suite for labor and delivery. As a member of Covenant Health, Cumberland is part of the region's only stroke hospital network, which links Covenant Health's member hospitals in providing access to rapid diagnosis and treatment of stroke. Cumberland holds Advanced Primary Stroke Center certification from The Joint Commission. Cumberland has an in-house cardiac catheterization lab, inpatient dialysis services and an inpatient rehabilitation unit. A full-service laboratory, medical imaging department, physical therapy and cardiopulmonary services department are also available. Cumberland's surgery department includes six main operating rooms, four of which are equipped with high-definition endoscopic video equipment. Cumberland is accredited by The Joint Commission. It has also earned the Commission on Cancer's Accredited Cancer Program designation and is accredited by the American College of Radiology in Radiation Oncology, Positron Emission Tomography (PET) Imaging and Breast Imaging Center of Excellence. IMPROVING THE COMMUNITY'S QUALITY OF LIFE THROUGH BETTER HEALTHEmergency physicians are on duty 24 hours a day, seven days a week, while general and specialty surgeons provide around-the-clock coverage and treatment. A new emergency department was opened in 2016 that has allowed Cumberland to better serve patients with updated equipment and technology, new patient care rooms, and specialty cardiac and trauma rooms. In 2022, the hospital welcomed 24/7 interventional cardiology coverage, making it possible to provide emergent cardiac care "close to home" for those on the Cumberland Plateau. Outreach programs were adapted to support social distancing to reduce potential spread of COVID-19 in 2022; however, the following milestones were accomplished: - With patients' consent, Cumberland shared a variety of patient testimonial stories with the community on topics and education related to breast health, diabetes, stroke, active lifestyles, etc., moving more, etc. - Supported a "Hike for Health" 12-week series of walks on local one-mile paved trails - Held health fairs in Fairfield Glade and with Uplands Village - Provided free childbirth education classes - Partnered with the Cumberland County Health Department for a "Community Baby Shower" in support of safe sleep and breastfeeding awareness - Provided free prostate-specific antigen (PSA) screenings in support of a new Men's Health Awareness benefit golf tournament - Held a Breast Cancer Awareness luncheon and Breast Center open houses in both Fairfield Glade as well as the hospital in Crossville COVENANT HEALTH Cumberland is a member of Covenant Health. Covenant Health is a comprehensive, community-owned health system dedicated to improving the health of the people it serves. Established in 1996 by the consolidation of Fort Sanders Health System, Knoxville, Tennessee, and MMC HealthCare System in Oak Ridge, Covenant Health is governed by a voluntary board of directors comprised of community leaders and medical professionals. With more than 11,000 employees, affiliated physicians and volunteers, Covenant Health is the Knoxville area's largest employer and has been named a Best Employer by Forbes. Covenant Health includes nine acute care hospitals in East Tennessee: Methodist Medical Center of Oak Ridge, Fort Sanders Regional Medical Center and Parkwest Medical Center in Knoxville, Fort Loudoun Medical Center in Lenoir City, LeConte Medical Center in Sevierville, Morristown-Hamblen Healthcare System in Morristown, Roane Medical Center in Harriman, Claiborne Medical Center in Tazewell and Cumberland Medical Center in Crossville. It also includes Peninsula, a division of Parkwest Medical Center, a behavioral health hospital in Blount County, Tennessee. The health system also includes Covenant Medical Group, which includes more than 200 physicians and advanced practice clinicians in office locations throughout East Tennessee.Affiliated organizations include Thompson Cancer Survival Center, Thompson Oncology Group, Fortress Corporation and Subsidiaries, Covenant HomeCare, and Fort Sanders Perinatal Center. Philanthropic organizations include Fort Sanders Foundation and the Thompson Cancer Survival Center Foundation in Knoxville, Methodist Medical Center Foundation in Oak Ridge, Dr. Robert F. Thomas Foundation in Sevierville, and Morristown-Hamblen Hospital Foundation in Morristown. Funds raised by the foundations provide services, equipment and other resources for excellence in patient care.Cumberland, as a member of the Covenant Health system, benefits from the collaboration among all affiliated organizations to promote quality improvement, patient safety and efficient delivery of care for the communities served.IMPACT OF COVID-19In March 2020, the outbreak of the coronavirus disease 2019 ("COVID-19") was declared a public health emergency by the Department of Health and Human Services and declared a national pandemic by the World Health Organization. The COVID-19 pandemic had a major impact on the operations of all hospitals and affiliates included within the Covenant Health System. Three years later, although the overall number of hospital admissions due to the virus is significantly lower than the prior two years, COVID-19 continues to be a long-term problem. The stresses on the System which began in 2020 continue to have long-term and far-reaching implications, creating new challenges for every hospital in the System. The rapid rise in costs for supplies and equipment, unprecedented staffing shortages, and lower patient volumes continue to result in financial stress. Elective surgeries and diagnostic procedures have not yet returned to pre-COVID levels. Government subsidies in 2020 and 2021 helped offset the financial losses caused by significant declines in volumes due to cancelled and postponed procedures. In 2021 and 2022, Federal and state grants continued to be used to subsidize the rising costs of retaining staff and providing quality care. These federal and state grants were helpful but the financial pressures of rising costs across the System are ongoing.Early results from our focus groups for the Community Health Needs Assessments indicate that community problems such as substance abuse, mental illness, asthma and other respiratory diseases, and access to health care have gotten worse since COVID-19, thus stressing the health care System even more than usual.Covenant Health has put in place a number of changes to address these challenges. We are aggressively pursuing cost reductions in supplies across our hospitals and with our vendors. Covenant has increased nurse pay and implemented retention bonuses and other incentives to help reduce staff fatigue and turnover. A number of innovations, including a growing use of Tele-health capabilities, have assured that we continue to reach and serve patients in the community. Patient care continues to be our top priority despite the economic pressures.</Desc>

<ExplanationTxt>Part V, Section B, Line 5: Cumberland Medical Center ("Cumberland") conducted its fourth Community Health Needs Assessment ("CHNA") in 2022. A Steering Committee was formed to guide the assessment process and included staff from the Cumberland County Health Department, United Fund, Cumberland Medical Center, Cumberland County Emergency Medical Services, Cumberland County government, Crossville Fire Department, Hilltoppers, Crossville City Manager, Cumberland Heights, Cumberland County Coordinated School Health, Cumberland Prevention Coalition, Uplands Village and Fairfield Glade Resident Services. Each of these community organizations serve the broader community and, in particular, the low-income, uninsured and chronically ill. The Steering Committee worked with the University of Tennessee-Knoxville Social Work Office of Research and Public Service ("UT-SWORPS") to devise a Cumberland County household survey and to host four focus groups of community leaders, each of which represented a part of the overall Cumberland County public health system. The household survey collected information from 469 Cumberland County residents. Participation in the survey was diverse and reflected the demographic profile of the county for the attributes of educational level, income, ethnicity and age. The primary research was analyzed and combined with county demographics, mortality, and secondary data for more than 60 health indicators. A Data Team was formed to analyze the data and determine the most significant findings from the assessment. The Data Team included Steering Committee members as well as representatives from the University of Tennessee/TN State University Extension Service, Coordinated School Health, Fair Park Senior Center, Chamber of Commerce, Crossville City Parks and Recreation.</ExplanationTxt>

<ExplanationTxt>Part V, Section B, Line 6b: Though Cumberland's CHNA was issued as a stand-alone report, many non-hospital organizations assisted throughout the process. Research partners provided expertise on survey design, focus group facilitation, data collection, data sources, and analysis. UT-SWORPS was an integral contributor, as well as the Cumberland County Health Department and the Tennessee Department of Public Health (Nashville, TN).Additionally, focus groups were beneficial in discussing and identifying community needs in Cumberland County. Organizations and individuals participating in the focus groups included: - Cumberland County Health Department - Cumberland County United Fund- Cumberland County Schools - Crossville Fire Department- Cumberland County School Health Coordinator - Kids on the Rise - Cumberland Heights and Prevention Coalition - First Bank - Wyndridge Health and Rehabilitation Center - Young Pharmacy- Patient Family Advisory Council- Cumberland County Human Resources - Lake Tansi Recreation - Crossville Medical Group- Cumberland County Housing Authority - Uplands Village - Fairfield Glade Resident Services</ExplanationTxt>

<ExplanationTxt>Part V, Section B, Line 11: At the conclusion of the 2022 assessment process, largely due to COVID-19, the Data Team consensus was to continue the five health priorities of the 2019 CHNA. Data Team members felt each priority area of the 2019 assessment have worsened. Communities were faced with increased uncertainty and stress, many resources were paused and healthcare organizations were pushed to the breaking point. Overall, the demand for health and human resources far outweighed the supply. The 2022 most significant health priorities for Cumberland County are as follows: Substance Abuse Disorder, Mental Health Access, Health Education for Chronic Diseases, Adverse Childhood Experiences and Insufficient Number of Primary Care, Specialist and Dental Providers. Cumberland updated its 2022 Implementation Plan based on the identified needs and plans to address four of the five identified issues in the following ways:1. Substance Abuse DisordersCumberland Prevention Coalition - Cumberland is staying on the forefront of the latest trends affecting the community (such as vaping) by supporting Cumberland Prevention Coalition with hospital resources as opportunities arise. Opioid Light Protocol - Cumberland has adopted the Covenant Health protocol to reduce the amount of narcotics prescribed in the Emergency Department. Narcotics are reserved for acute pain, and other non-narcotic methods of pain control are offered to patients with more chronic pain. Patient Education - Cumberland teaches inpatients how to better manage pain with alternatives like repositioning, ice packs and pain scales (1-10). 2. Mental Health Access Covenant Health - As a member of Covenant Health, Cumberland will advocate and support the system's behavioral health services, such as its partnership with Acadia Healthcare, to assist area residents. In 2021, Cumberland's Emergency Department implemented telehealth for psychiatric evaluations, which has improved the timeliness of administering medication and the ability to transport to psychiatric facilities. Inpatient Education - Cumberland Case Management helps educate patients and families with resources available for those struggling with addiction. Mobile Crisis Services - Cumberland works with local and statewide agencies like Tennessee Department of Mental Health & Substance Abuse Service's Mobile Crisis Services.3. Health Education for Chronic Disease ConditionsBreast Cancer Awareness Events - Cumberland offers annual Breast Cancer Awareness education for the community to hear guest speakers and receive educational information in support of annual mammogram screenings. Cancer Navigators - Cumberland has two nurse navigators serving in the Breast and Cancer Centers to provide education to patients going through cancer treatment. Community Baby Shower - Cumberland participates in a community wide baby shower in partnership with the Tennessee Health Department - Cumberland County. Expectant mothers are provided key information about their child's upcoming birth as well as vital community resource information to help those who are economically disadvantaged with resources such as the Women, Infant, and Children (WIC) offered through the Health Department. Diabetes - Cumberland Diabetes Center, a member of Covenant Medical Group, helps patients locally with diabetes prevention and care as well as other metabolic associated conditions. Health Fairs - Cumberland has annual health education and screening fairs across the community. Events are held at places upon request such as: Crossville Ceramics, Inc., Cumberland County Schools, Fair Park Senior Center, Fairfield Glade and Uplands Village. Patient Education - Signs and Symptoms on Stroke and Heart Attack are provided to every inpatient upon discharge. Additional education is specifically tailored to the patient based on their personalized plan of care. Support Groups & Continuity of Care Meetings - Cumberland holds various support groups for caregivers and patients with health areas of focus such as Breast Cancer, Chronic Obstructive Pulmonary Disease (COPD), Diabetes, and Sleep. - The hospital leads Continuity of Care meetings for key health care professionals within the community who represent industries such as nursing home and home health. This provides an opportunity to exchange knowledge for updates that better improve quality and transition of care within community. 4. Adverse Childhood Experiences (ACEs) - ACEs are outside the scope of care provided by Cumberland because it is an assessment performed in a physician office setting as part of the patient's overall health management. The hospital can be supportive as opportunities that bridge various community partners and awareness arise locally. 5. Recruit more primary care, specialist and dental providers - Cumberland will continue recruitment efforts for primary and specialty physicians as well as assist specialists like dentists, who can help further serve in meeting the community needs. - The hospital will cultivate relationships with Covenant Health specialists not available on the Cumberland Plateau. - Cumberland has embraced advancements for Virtual Care (telehealth) utilization, such as Cumberland Medical Center's implementation of Tele-ICU in 2021, to help expand care available to patients locally.</ExplanationTxt>

The IRS Community Benefit Standard includes the provision of care to the elderly and Medicare patients. Medicare shortfalls must be absorbed by the hospital in order to continue treating the elderly in our community. This year, Medicare patients accounted for 34% of total patient days (7,790 out of 22,589 total). The hospital provides care regardless of this shortfall and thereby relieves the federal government of the burden of paying the full cost for Medicare beneficiaries. <ExplanationTxt>Cumberland utilizes a look-back method to determine amounts generally billed ("AGB") to establish the maximum amount that will be charged to individuals eligible under the financial assistance policy ("FAP") for emergency or other medically necessary care. Self-pay patients automatically receive a 67% discount on charges based on the facility's calculated AGB. Federal poverty guidelines are utilized in the determination of charity care eligibility. Patients who are unable to pay and have exhausted all sources of payment assistance may qualify for charity care. A sliding scale is used for extending charity care utilizing the income levels reported under the federal poverty guidelines. Patients/guarantors with income that falls below 200% of the federal poverty guidelines receive 100% charity care. Patients/guarantors with income of 201-300% of the federal poverty guidelines receive 90% charity care. For catastrophic illness, exceptions to income and asset limitations may be made on a case-by-case basis. The amount considered for charity will be based upon the evaluation of the patient's/guarantor's ability to pay.Cumberland makes reasonable efforts to determine a patient's eligibility under the facility FAP. All collection activity will be halted if a charity application is received and will remain on hold until a determination is made by Cumberland and communicated in writing to the responsible party. If the charity application is approved, all collection activities taken will be reversed and any amounts paid above the amount required will be refunded. Patients/guarantors who qualify for partial financial assistance are responsible for paying any balance remaining after the charity adjustment and third party payments. Cumberland will not engage in extraordinary collection actions ("ECA") before it makes reasonable efforts to determine whether an individual who has an unpaid bill is eligible for financial assistance. Reasonable efforts to determine whether the individual who has an unpaid bill is eligible for financial assistance include notification to the individual of the financial assistance policy, contacting individuals who have submitted incomplete financial assistance applications regarding how to complete the application, and allowing a reasonable time period to do so, and reviewing completed applications for financial assistance eligibility.Cumberland does not sell any accounts receivable accounts to outside firms. All accounts remain property of and under the policies set by Cumberland. Cumberland will not defer or deny medically necessary care because of nonpayment for previously provided care whether it was covered or not covered under the charity program.</ExplanationTxt>

<ExplanationTxt>Board members, officers, and employees are required to adhere to rules and policies regarding conflicts of interest. Covenant Health distributes a board-approved Code of Conduct to all employees. The Code covers among other subjects, conflicts of interest and requires disclosure and resolution of employee conflicts of interest. Additionally, officers, employed physicians, and highly compensated employees are required to complete and sign an annual conflict of interest disclosure statement. Board members' conflicts of interests are addressed in the corporate bylaws, and board members are required to complete and sign a conflict of interest questionnaire on an annual basis. The Integrity-Compliance Office maintains records that contain conflict of interest information obtained from board members, officers, and employees. These records are available to be queried prior to engaging in business transactions. The Chief Compliance Officer reviews conflict of interest data. Based on this information, the officer determines what conflicts of interest exist at that point in time. Between times when surveys are collected, board members are expected to disclose any new conflicts that have arisen that affect pending board decisions. Officers and other employees are expected to report conflicts to the Chief Compliance Officer as they arise. Depending on the nature of the conflict and the circumstances surrounding the conflict and transaction, the Chief Compliance Officer, senior leadership, or the board of directors may review the conflict of interest. When appropriate, these parties may also consult legal counsel. Restrictions imposed on persons with a conflict of interest are determined on a case by case basis. For Covenant Health employees, the Chief Compliance Officer in conjunction with Covenant Health Executive Leadership determines how to appropriately manage the conflict. In any conflict involving a board member, such member is expected to recuse himself or herself from voting on matters related to the conflict.</ExplanationTxt>

The Covenant Health CEO is compensated by Covenant Health, and a detailed description of the compensation process is included on Covenant's Health's 990. The process for Cumberland Medical Center's CEO is included in response to Part VI, Section B, Line 15b. Form 990, Part VI, Section B, Line 15b: Base salary and annual bonus opportunities for Randall Davis, President and Chief Administrative Officer, are set by the Covenant Health CEO in consultation with appropriate Executive Vice Presidents and the Senior Vice President-Human Resources, after review by and discussion with the executive compensation consultant ("the Consultant") to ensure that total compensation is reasonable and within a fair market value range. Salary ranges are based upon the recommendations of the Consultant made after comparison with similar jobs in similar size health systems across the nation. Bonuses are recommended by the CEO and reviewed with the Committee conditioned upon receipt of a written opinion from the Consultant that total compensation for the executive is reasonable and consistent with fair market value. Base salary is initially targeted at the 25th percentile and may vary according to market conditions, performance, tenure, experience, special skills or qualifications, recruitment and retention challenges, and other relevant factors. Annual bonuses are designed to award 0-35% of base salary based upon system performance and accomplishment of certain targets established by the CEO. Base salaries and annual bonus opportunities for other officers and key employees are based on targets established by historical compensation consultant data and the Covenant Health Compensation department. Salary ranges are based upon comparison with similar jobs in similar size health systems across the nation. Base salaries and bonuses are approved by Executive Leadership predicated upon performance, and are reasonable and consistent with fair market value. Base salaries are initially targeted at midpoint and may vary according to market conditions, performance, tenure, experience, special skills or qualifications, recruitment and retention challenges, and other relevant factors. Annual bonuses are designed to award 0 - 20% of base salary based upon system performance and accomplishment of certain targets established by Executive Leadership.</ExplanationTxt>
