Part I, Line 5 The President/CEO, Sr VP of State Partnerships, VP of Product Strategy, VP of Program Management Services, and VP of Development qualify for revenue-based compensation. For all except the CEO, the bonus structure is included in each employee's compensation agreement and reviewed and approved by the CEO. Finance provides the calculations to support the bonus amounts. For the President/CEO, the bonus structure is included in the compensation agreement for the President/CEO and reviewed and approved by the Board. Part I, Line 6 Bonus compensation for the President/CEO, Sr VP of State Partnerships, VP of Product Strategy, VP of Program Management Services, and VP of Development is only paid if target net earnings are achieved or exceeded. Part III- Additional Information The VP of Development earned bonus based on performance metrics approved by the Board of Directors. Form 990, Part VI, Section B, line 11b The 990 is distributed to the Board members, who can review, ask questions, and propose edits. Comments, questions, and proposed edits are appropriately addressed. Approval is sought and recorded in the books and records of the Organization. Form 990, Part VI, Section B, line 12c New Meridian Corporation follows its Conflict of Interest Policy, which requires directors and officers to be surveyed annually by the organization regarding any potential conflicts with the organization, its material contractors, and/or customers. In the event of a conflict, the director or officer in conflict abstains from voting on matters in conflict. Form 990, Part VI, Section B, line 15 The Board reviews comparability data for compensation and other factors to determine the compensation of the President/CEO and the overall compensation approach the organization uses. The independent Directors vote to approve such compensation. The supporting data, deliberation, and vote are recorded in Board minutes. New Meridian Corporation participates in a compensation study to compare our compensation with similar organizations. The CEO ultimately determines and approves the COO's salary every year. The Board also approves new Meridian Corporation compensation of Directors as part of each fiscal year's annual plan review.
