Conflict of interest policy compliance Part VI line 12c The organization asks board members, officers, employees, and volunteers annually to disclose interests that may give rise to potential conflicts of interests under the Conflicts of Interest Policy. Other officer or key employee compensation Part VI line 15b The board (or a committee thereof) has periodically reviewed compensation at comparable organizations (using Forms 990 and survey data) to determine appropriate general compensation levels for the President. It is empowered to review and advise on decisions of mangement in between full board meetings, consistent with the direction set by the full board. It has no power to amend the Networks governing documents, dissolve or merge the Network, approve the sale or exchange of any assets of the corporation, or elect or remove directors or officers. During the tax year the shared staff were concurrent common law employees of the Network and CLF but paid directly by the Network; time spent working for each organization was tracked. Some of the shared costs were simply covered by AAN and others were subject to reimbursement by CLF. AAN and CLF had separate relationships with other common vendors, but amounts spent on those vendors by AAN have not been reported here unless AAN paid amounts subject to reimbursement by CLF or AAN paid more than AAN owed to a vendor for that vendors services to AAN in order to cover the amount owed by CLF.
