The organization also launched a monthly webinar series and Radio MBUFA video programs. Form 990, Part III, Line 3 Due to the pandemic, the organization had to cancel all in person quarterly meetings and the annual conference. Travel was also cancelled. Form 990, Part VI, Section A, Line 3 The organization contracted with the law firm Faegre Drinker Biddle & Reath LLP to manage the organization until the end of June 2021. Beginning on July 1, 2021, the organization contracted with two independent consultants to manage the organization. Form 990, Part VI, Section B, Line 11b A complete copy of Form 990 was provided electronically to all officers to review and approve prior to filing with the IRS. Form 990, Part VI, Section B, Line 12c Officers are required annually to complete a conflict of interest disclosure form. The organization has quarterly Board meetings to discuss any issues should they arise. Conflict questions are evaluated by legal counsel. Form 990, Part VIII, Line 2a - 2e Final payment from FHWA for report prepared by MBUFA on communication practices of the state pilot projects which received STSFA grants. Form 990, Part IX, Line 11g Organization paid $121,548 to subcontractors who are partnering to prepare a report for the Federal Highway Administration MBUFA filed an application 8868 for an automatic extension of time to file our 2020 Form 990 return which was granted. A paper return was sent on September 29, 2021 which was within the filing extension time period. We received a letter (LTR 2694C) from the IRS dated July 27, 2022 informing us that the organization was required to file the 2020 return electronically and returned the paper return. We misunderstood the effective date of the electronic filing requirement and did not realize there was a problem until we received the July 27th letter. The IRS letter indicated that we had 10 days to return a complete and accurate return. We have acted expeditiously to refile our return electronically within the 10 day window to meet our Form 990 tax filing requirement for 2020. We ask not to be penalized for our filing method error and hope that you will consider our timely filing of a paper return an indication of our good faith effort to meet our filing requirements.
