<FormAndLineReferenceDesc>Part V, Line 4: Intended uses of the endowment fund.</FormAndLineReferenceDesc>
<ExplanationTxt>EPBH's endowment funds consist of both donor-restricted endowment funds and funds designated by EPBH to function as endowments. EPBH receives support from various irrevocable outside trusts within its endowment funds, most notably The Helen Bradley Trust and The George L. Bradley Trust (the Trusts), which were established under the wills of the late Helen and George L. Bradley. At September 30, 2021, the market value of the Trusts was approximately $40.1 million (not including land and the original Laufer Building in East Providence, Rhode Island where EPBH is located). As a result of a court order in 2007, the Trusts were authorized to make annual distributions to EPBH based on the trailing twelve-quarter average fair market value of the Trusts' investment assets in amounts equal to 7% of the average market value of the Trusts in 2007, decreasing by one-quarter of one percent per year to 4.5% in 2017 and beyond.EPBH's largest temporarily restricted fund at September 30, 2021 consisted of $379,292 that supports the OCD Intensive Program, providing support for the needs of EPBH's intensive program for children with obsessive compulsive disorders.EPBH also holds a Family Support Fund that is used for emergency needs of its patients and their families. An additional temporarily restricted fund supports the operations and capital needs of EPBH's Compass Residential Program, which provides comprehensive mental health services guided by Dialectical Behavior Therapy for adolescents who are struggling with severe mood problems and/or behavior dysregulations.Another fund, provided by a donation of $200,000 by CVS Health, is supporting the treatment of co-occurring substance addiction and mental health disorders at EPBH.</ExplanationTxt>

<ExplanationTxt>Part V, Line 3e- The significant needs identified in EPBH's 9/30/2019 CHNA have been prioritized in order of significant needs of the community, as determined by the organization.Another significant health need which impacted EPBH's community during 2021 was the COVID-19 pandemic. While this need was not outlined in EPBH's 9/30/19 CHNA Implementation Strategy, EPBH stepped to the forefront of caring for children adversely impacted by COVID-19 by offering vital care and services to address the stress, fear, grief, isolation, uncertainty, and other mental health issues created by COVID-19.</ExplanationTxt>

<ExplanationTxt>The CHNA process involved the integration of information from a range of data sources to identify the significant health needs of the community served by EPBH, prioritization of those needs, and identification of resources, facilities, and programs to address the prioritized needs. Both qualitative primary data and secondary quantitative data were gathered to identify the significant health needs of the community. The primary data sources included community health forums, key informant interviews, and individual surveys. Secondary data sources included national and local publications of state-specific data. These sources varied in sample size, method of data collection and measures reported, but all are publicly available sources, and in each case, the most recent publicly accessible data was presented. The data sources are described in more detail below.Community Health Forums:Qualitative data was collected through Community Health Forums (CHFs) to solicit input from individuals representing the broad interests and perspectives of the community. Participants in the CHFs included members of the medically underserved, low-income, and minority populations in the EPBH service area.Community forums are a standard qualitative social science data collection method, used in community-based or participatory action research. Six CHFs were held between May 22 and June 14, 2019 across the EPBH service area. Participants were recruited using social media, posted flyers, email, and word of mouth. Locations were selected to be easily accessible to the public and hospital patients, and forums were held at various times of the day on weekdays and weekends. EPBH forums were held at a community health center, a senior center, an elementary school, a parent support organization, a public library, and at EPBH. At each forum, a meal was provided, along with child care and interpretation if requested in advance. All CHFs were open to the public and participants were fully engaged throughout the 90-minute discussions.A representative of EPBH served as a hospital liaison to help plan and facilitate the CHFs. The EPBH liaison was a critical link between the Lifespan Community Health Institute (LCHI) as the coordinating body, the expertise and resources within EPBH, and the Community Liaisons described below. An important and unique component of the CHFs was the involvement of Community Liaisons. Three people representing the diverse populations served by EPBH were hired as consultants to assist with the CHNA. These Community liaisons helped plan the CHFs, recruited participants, and co-facilitated the forums. All Community Liaisons were chosen through a competitive selection process and completed a two-hour training prior to leading the CHFs. The training included project planning tips, role-playing activities, conflict management strategies, and logistical expectations. Community Liaisons were responsible for identifying an accessible venue for each forum, selecting a food vendor and menu that would be appealing to the target audience, and co-facilitating the discussion at the CHF with their hospital liaison. Each CHF was two hours in duration and followed a similar format that began with a meal, followed by a 90-minute discussion, co-facilitated by EPBH and Community Liaison. The discussion generated consensus on the participants health concerns, their prioritization of those concerns, and their ideas for how EPBH could respond to those concerns. Discussion began with a brief presentation of EPBHs 2016 CHNA priorities and examples of activities EPBH has performed in response. Participants were invited to share their reactions to what was presented as well as their current health concerns. The input gathered during the CHFs was assessed qualitatively to extract themes and quantitatively to determine the frequency with which those themes were cited. Community Liaisons also met with the LCHI and the hospital liaison to debrief the forums and offer their interpretation of the findings to ensure all input was captured and that priorities were appropriately ranked.Hiring, training, and empowering community members to serve as Community Liaisons in the CHNA process enriched the quantity and quality of community input. It also allowed EPBH to build relationships with communities that might not otherwise have become aware of or engaged in the needs assessment process.Individual Surveys:To broaden the reach of community input, surveys were distributed and collected by LCHI staff at events they attended in May and June 2019, such as the annual Pride Festival. The surveys addressed the same questions as the CHFs. Two individual surveys were received for EPBH.Key Informant Interviews:The director of the LCHI identified public health and health policy leaders who could inform the 2019 CHNA process and who had knowledge, information, or expertise about the community that EPBH serves. Key informant interviews were conducted with state leaders to supplement the other quantitative and qualitative data collected. Key informants include the: Acting Chief of Staff, Executive Office of Health and Human Services, State of Rhode Island and Policy Director, Rhode Island Childrens Cabinet Director of Policy, Planning, and Research, Executive Office of Health and Human Services, State of Rhode Island Director, Health Equity Institute and Special Needs Director, Rhode Island Department of Health Physician Lead, Health Equity Institute, Rhode Island Department of HealthWhen crafting the EPBH implementation strategy, EPBH reflected upon the key themes that emerged from these conversations. The statewide priorities and recommendations of the key informants included: incorporate health equity targets; generate and monitor data on health disparities, especially by race, ethnicity and income; build strategies that incorporate the social determinants of health; go beyond individual interventions to family/household level interventions; make investments in early childhood; consider comorbidities, especially between behavioral health and chronic diseases; confront racism and bias to improve care; provide personalized care; be sensitive to misalignments within healthcare; and continue to address substance misuse and behavioral health conditions. To ensure representation from a broad cross-section of the community, CHF's were held in the following locations:- Blackstone Valley Neighborhood Health Center, 39 East Avenue, Pawtucket, RI 02860; - Park Holm Senior Center, 1 Parkholm Road, Newport, RI 02840;- Emma Pendleton Bradley Hospital, 1011 Veterans Memorial Parkway, East Providence, RI 02915;- Parent Support Network of Rhode Island, 535 Centerville Road, Suite 202, Warwick, RI 02886;- Bradley School South County, 4781 Tower Hill Road, South Kingstown, RI 02879;- Woonsocket Harris Public Library, 303 Clinton Street, Woonsocket, RI 02895.</ExplanationTxt>

<ExplanationTxt>EPBH's Community Health Needs Assessment issued for the fiscal year ended September 30, 2019 identified four significant health issue areas requiring a further implementation strategy. Those significant health issue areas include: (1) access to services; (2) systems of care; (3) outreach and education; and (4) substance use prevention. The implementation strategy to address those significant health needs outlined between October 1, 2019 - September 30, 2022 is available at: https://www.lifespan.org/sites/default/files/lifespan-files/documents/lifespan-main/EPBH-CHNA-Implementation-Plan.pdfDuring the fiscal year ended September 30, 2021, EPBH implemented the specific actions listed below in order to address the significant community health needs outlined in its CHNA Implementation Strategy issued on February 11, 2020.Significant Health Need #1- Access to Services: -Promote the Pediatric Psychiatry Resource Network (PediPRN) to family physicians and KIDS Link (a hotline for children in emotional crisis) to parents: EPBH continued to outreach pediatricians and family practices to promote PediPRN and telephonic consultation. Efforts continue and EPBH is confident that outreach can be expanded to successfully promote the resources available. During FY '21 EPBH offered a variety of articles focused on assisting children and parents related to the promotion of mental health. Topics included "Going Back to School: How to Help Children Feel Safe During the Pandemic", "Children and Grief", "Teens, Stress and How Parents Can Help", and "Pros and Cons of Social Media".-During FY '21 EPBH opened the Bradley Hospital REACH program for children and teens, which was designed to reduce or eliminate self-harm and maladaptive behaviors, improve depressive and anxiety-related symptoms, help kids build coping skills, and decrease the need for hospitalization. All these needs existed prior to the pandemic, but the pandemic brought them to light.-The EPBH Sleep Research Laboratory led nationwide research into the effects of COVID-19 on childrens sleep schedules, gathering data through a Facebook survey with over 5000 respondents from all 50 states.-EPBH, Hasbro Children's Hospital (a division of RIH), and Boston Childrens hospitals joined forces to present the second Pediatric Healthcare Summit, held virtually on December 8, 2020. The course presentation featured such topics as adolescent eating disorders, transgender medicine, feeding dificulties, and the COVID-19 vaccine.Significant Health Need #2- Systems of care:-Provide transition supports to adult care/services: The EPBH Verrecchia Clinic now includes eight members as part of its clinical team. EPBH is also partnered with social work staff, which has allowed services to families with children and adolescents who have autism/developmental disabilities to be expanded to include adult-care services.-Optimize discharge planning to home and school-based services: EPBH has successfully implemented a multi-faceted network for communication and identification of available resources in the community to assist with discharge planning. Weekly e-mails are exchanged with Gateway Healthcare, Inc., a Lifespan affiliate, and other community-based mental health providers. Hasbro Childrens Hospital (a division of Rhode Island Hospital) providers routinely participate in the EPBH "Daily Huddle". EPBH, through the Pediatric Psychiatric Response Network, has ongoing consultation arrangements with community pediatricians and has recruited an Educational Coordinator to advocate for patients and liaison with Local Education Agencies (LEAs) during inpatient stays and post-discharge transitioning.Significant Health Need #3- Outreach and education: -EPBH has continued to enhance the computer-based continuing education offered to professionals in a variety of disciplines, including psychologists, social workers, certified counselors, physicians, nurses, speech/language and occupational therapists, and teachers. Courses are available through EPBH's computer learning management system (TRAIN) complete with self-registration, post test function, evaluation and certificate download. Powered by the Public Health Foundation, the TRAIN Learning Network brings together agencies and organizations in the public health, healthcare, and preparedness sectors to disseminate, track, and share trainings for the health workforce on a single national online learning management system platform. The system is utilized by the VHA, the CDC, and multiple other federal and state agencies. Moving to TRAIN has created a more user-friendly and mobile-friendly experience for our remote learners and has enhanced the visibility of courses available on TRAIN and via the EPBH website. The content created by EPBH clinicians is distributed regionally, nationally, and internationally to any English language user with web access. All courses are approved for continuing education credits across clinical disciplines. Examples of educational offerings include: "Autism in Infancy: Advances and Implications for Clinical Practice", "Considering the Children of Parents with Mental Illness: Impact on Behavioral and Social Functioning", "DSM 5 Updates for Eating Disorders: Implications for Diagnosis and Clinical Practice", "Foundations for Infant/Toddler Social Emotional Health and Development: Designed for Providers", and "Psychiatric, Reproductive, and Relationship Health in Adolescent and Young Adult Women".-During FY '21, EPBH offered its 21st annual Parenting Matters conference, a half-day event offering parents, childcare providers and teachers a unique opportunity to learn from top child development and behavior professionals in a casual setting. Internationally renowned parenting and Attention Deficit Disorder expert Thomas Phelan, Ph.D., was the conferences keynote speaker. Phelan, the author of the best-selling 1-2-3 Magic Parenting Program, presented Parenting Solutions for Dealing with Difficult Behavior in Toddlers, Children and Teens. The father of an ADD child, Phelan has also served on the boards of directors for two national organizations for parents of children with ADD, and authors a blog with tips and advice on the subject.Workshops offered throughout the event included topics such as Sibling Rivalry, Bullying in School and Online, Ready for Kindergarten, and Helping Overweight Children and Teens Manage Their Weight, which are designed to help parents deal with 21st century challenges.-EPBH offered its annual Bradley Conference fall series, held virtually, which focused on the issue of suicide prevention, with workshops on screening, response training, and the latest suicide risk assessments. The clinicians at EPBH designed this training program specifically for individuals who do not have a background in mental health. This class is offered to anyone who may wish to learn more about suicide prevention. Educators, public safety personnel, family members, health care workers, faith leaders, transportation workers, food service employees, community members anyone who interacts with children or adults will benefit.-EPBH received a $10 million award from the NIH to establish the Center for Sleep and Circadian Rhythms in Child and Adolescent Mental Health. The first of its kind in the U.S., the center will study the links between sleep, circadian rhythms, and mental illness.Significant Health Need #4- Substance use prevention:-Offered educational programs for youth focused on increasing protective factors and reducing risk factors for substance use: The EPBH Wave Clinic is piloting a parent education group for parents of adolescents who are struggling with both mental health and substance use conditions. The adolescents at the Wave Clinic receive evidence-based treatments including motivational enhancement therapy and cognitive behavioral therapies tailored to meet the needs of each youth and his or her family. The Wave Clinic treatment may encompass individual therapy, family therapy, and/or group therapy for teens, as well as a skills group for the parent(s) or caregiver. Treatment is provided by our multidisciplinary team, which may include a psychologist, a licensed mental health counselor, and a child and adolescent psychiatrist. Substance use monitoring is part of treatment. Because the Wave Clinic is an outpatient program, teens can continue their schooling and practice their newly acquired skills in their daily lives. The length of the program varies depending on the treatment goals of the adolescent and his or her family. The EPBH Outpatient Department also developed support groups during FY '21 for parents and teenagers with substance use disorders and co-occurring mental health diagnoses. These groups provide parents with strategies for effectively supporting teenagers during the stages of behavioral change and substance abuse reduction. Topics include relapse prevention, coping with relapse, and positive parenting practices. Each session emp</ExplanationTxt>

<FormAndLineReferenceDesc>Part I, Line 3c - Charity Care Eligibility Criteria (FPG Is Not Used)</FormAndLineReferenceDesc>
<ExplanationTxt>EPBH uses a dual system for determining financial aid eligibility: federal poverty guidelines and an asset test. The financial screening process at EPBH is intended to define probable eligibility for public assistance (Medicaid or Community Free Care ("CFS")) for those patients who do not have the means to pay for hospital services rendered, as follows:1. Upon patient indication of an inability to pay required monies, the patient is offered the financial screening option to determine eligibility for public assistance (Medicaid, CFS).2. The application for CFS is completed and includes information relative to income, expense, and other available resources, and requires proof of such information which may include:- most recently filed Federal income tax return and any supporting W-2 form(s)- copies of most recent savings and/or checking account statements- two most recently received payroll check stubs3. If the patient's financial situation falls within the guidelines for eligibility for Medicaid or CFS, the appropriate application process is completed. (Assistance to complete such applications is available from the Patient Financial Advocates (PFA) Office at EPBH.)4. Uninsured patients receive an automatic deduction at EPBH equal to the amount calculated using the prospective method, referred to as amounts generally billed by Medicaid.5. Eligibility for CFS above amounts generally billed is provided for those applicants whose family gross income is at or below twice the Federal Poverty Guidelines, with a sliding scale for individuals up to three times the poverty level in effect at the time of application. Full charity care applicants with assets worth more than $9,400 for an individual (or $14,100 for a family) may not qualify for care without charge, but may qualify for discounted care. While the maximum 100% discount may not be available to all charity care applicants based on the results of their asset test, all uninsured patients who receive care are eligible for, at a minimum, a charity care discount equal to or more favorable than Amounts Generally Billed (AGB), which is the maximum amount EPBH would bill a patient qualifying for assistance under EPBH's Financial Assistance Policy (FAP). 6. For patients who qualify for less than 100% of the financial assistance program, a payment schedule is determined and agreed upon (discussed further below). Payment arrangements are established prior to service for non-urgent care. 7. In either case, the final results of the financial screening are recorded in the comments section of EPBH's billing system.Requests for Payment Arrangements:Patient Financial Advocates (PFA) will qualify patients that are receiving non-urgent, medically indicated procedures prior to services. The PFA will request 75% to 100% of estimated charges (net of the AGB discount) if the balance is under $5,000 and 50% to 100% of estimated charges (net of the AGB discount) if the estimated bill equals or exceeds $5,000.Patients who do not qualify for total or partial CFS, but who have difficulty in paying their bills after services are rendered, may request to enroll in a payment plan. Eligibility for the payment plan includes the following guidelines:1. Immediate payment in full will result in financial hardship to the patient or the patient's family.2. Deposit of one-half of the estimated total bill is requested prior to admission.3. The minimum monthly payment of $50.00.4. The maximum length of the payment plan is twenty-four months. The Customer Service staff will set up the payment plan using the above guidelines as well as complete the necessary information on the "Payment Agreement" form and mail to the patient for signature. Account documentation will be done online. The pre-collect agency will be sent a copy of the payment agreement and all forms will be scanned into the PFS Optical Imaging System.</ExplanationTxt>

        <FormAndLineReferenceDesc>Part I, Line 7 - Explanation of Costing Methodology</FormAndLineReferenceDesc>
<ExplanationTxt>EPBH's costing methodology used to calculate the amounts reported in Part I, Line 7 is as follows:a) Financial assistance at cost- involves utilization of a ratio derived from dividing patient costs, as defined, by patient charges, as defined, and applying that percentage to total charity care charges.Patient costs reported in the cost accounting system are calculated based on Medicare principles of reimbursement by reducing total operating expenses (as calculated per Form 990 requirements) by items such as bad debt expense, the cost of medical education, internally funded research, subsidized health services, community services, charitable contributions, and other operating revenue. Patient costs are then divided by patient charges to determine a ratio of cost to charges (RCC). This RCC is applied as the costing methodology for determining charity care expense.e) Community health improvement services and community benefit operations- Community benefit operations expense is recorded as direct expenses incurred as reported by EPBH's Community Health Services Department. Revenue received for these services is reported as direct offsetting revenue. f) Health professions education- Health professions education expenses represent direct costs related to amounts associated with resident and intern programs utilized at EPBH. g) Subsidized health services- Subsidized health services' community benefit expense is determined by EPBH's internally developed allocation model based on the general ledger whereby overhead costs are applied to all direct care departments using a historically determined basis. This expense is adjusted to remove all related bad debt, Medicaid, and charity costs already reported in the applicable sections of Line 7. Net patient service revenue is recorded as amounts received from various payer types related to these services.h) Research- EPBH conducts extensive medical research focused on child and adolescent mental health concerns and brain science. For all internal and external research conducted, the costs associated with these activities are calculated by combining the direct and indirect costs as calculated by EPBH's internally derived methodology. Revenue received for these services is reported as direct offsetting revenue. i) Cash and in-kind contributions for community benefit- Expenses for cash and in-kind community benefit contributions are incurred by EPBH, including an allocation of contributions made by Lifespan Corporation on EPBH's behalf.</ExplanationTxt>

<ExplanationTxt>The amount reported as bad debt expense is determined by applying the ratio of cost to charges (RCC) to the total charges written off to bad debt. <FormAndLineReferenceDesc>Part III, Line 9b - Provisions On Collection Practices For Qualified Patients</FormAndLineReferenceDesc>
<ExplanationTxt>EPBH does not bill for the excess of charges over agreed upon reimbursement amounts from third-party payors. Rather, such differences are recorded as a reduction of revenue through contractual adjustments. Collection efforts are focused on copayments, deductibles, and amounts denied by insurers. After all collection attempts are exhausted, any remaining balances, including any copayments and deductibles, are written off as bad debts. EPBH classifies its bad debts as uncompensated care. This does not apply to Medicaid, however, as there are no associated copayments or deductibles for this payor.EPBH generally does not require collateral or other security in extending credit to patients; however, it routinely obtains assignment of patients' benefits payable under their health insurance programs, plans, or policies, primarily Medicaid. Uninsured patients are offered Community Free Service and/or payment plan options.Lifespan's Patient Financial Services Department (PFS) has the responsibility for communicating and administering collection policies and procedures to all patient accounts. PFS engages the services of various pre-collect agencies as necessary. The following are highlights of the overall collection effort:* If a patient presents for admission who is not insured, staff assists the family with a Medicaid application.* If the patient is ineligible for Medicaid, a financial screening is performed to determine status of qualification for charity care.* If the patient does not qualify for charity care, PFS or the pre-collect agency attempts at least four contacts with the responsible party within the first 120 days.* If the third-party carrier denies in writing any responsibility for payment, arrangements regarding an extended payment plan are discussed with the patient's guardian.</ExplanationTxt>

Such care begins with an evaluation designed to meet the unique needs of each child and family. This initial assessment provides an understanding of the problem, identifies the child's needs, and determines the best and least restrictive treatment approach. Once a child is admitted, a treatment plan is tailored to the child's needs.EPBH actively participates with community mental health centers and the Rhode Island Department of Health to understand the mental health needs of children and families in Rhode Island and its surrounding communities. <ExplanationTxt>Effective October 23, 2012, the Board of Directors of Lifespan and the Boards of Trustees of Rhode Island Hospital, The Miriam Hospital, Newport Health Care Corporation, Newport Hospital, and EPBH approved a restructuring of their governance. Effective July 1, 2013, Gateway Healthcare, Inc. joined the Lifespan health system on July 1, 2013 and adopted this restructured governance. The restructuring has increased governance effectiveness and has streamlined governance operation, as well as provided a single strategic perspective for the Lifespan system hospitals. Pursuant to the restructuring, the bylaws of each of the affiliates were amended such that the composition of the boards of trustees of each of the hospitals and Newport Health Care Corporation is defined as those persons serving from time to time as the directors of Lifespan. As a result, the Boards of each entity are comprised of the same individuals. The Board of each entity retains its responsibilities and authorities notwithstanding the revision in its composition. The Board of Directors of Lifespan consists of not less than fourteen nor more than thirty-one directors, including the President and CEO of Lifespan, who serves ex-officio with vote.Additionally, the bylaws of EPBH confer certain reserved powers upon Lifespan to provide it with the means of effective oversight, coordination, and support of the system. Powers reserved to Lifespan include: to elect and remove EPBH trustees and to approve the election or removal of certain officers.</ExplanationTxt>

<ExplanationTxt>Home-based intensive behavioral treatment is for children who have been diagnosed with Autism Spectrum Disorder (ASD) or have varying degrees of chronic behavior disorders that, if left untreated, would worsen and require more intensive treatment, including psychiatric hospitalization or out-of-home residential placement. Staff members visit a family's home and deliver clinical services to the child on a one-on-one basis. The treatment plan is family-oriented, as it includes all family members in the treatment process. The Mindful Teen Program, a six-month outpatient treatment program for adolescents who display signs of suicidality, nonsuicidal self-injury, or other self-destructive behaviors, offers dialectical behavior therapy for adolescents (DBT-A), an empirically validated treatment designed to help eliminate life-threatening and self-destructive behaviors by developing alternative skills to manage emotions and tolerate distress.EPBH also offers a hospital diversion program to children and adolescents with mental retardation. Those admitted to this home-based program present with chronic mild to moderate behavior disorders that, if left untreated, would worsen and require more intensive treatment, including hospitalization or residential placement. This service, which is also a resource for children recently discharged from EPBH, is used as a preventive measure against the future need for an out-of-home placement.EPBH's outpatient treatment programs are administered by a multidisciplinary staff of psychiatrists, psychologists, nurses, and qualified trainees, who provide comprehensive mental health evaluation and treatment to children, adolescents, and families for a wide range of clinical conditions. Patients may be treated with a variety of modalities including individual, group and family therapy, and psychopharmacologic management. Treatment is often coordinated with other agencies such as mental health centers, schools, or community-based organizations.</ExplanationTxt>

<ExplanationTxt>The following applies to Lifespan and all of its affiliates, including EPBH:EXECUTIVE COMPENSATIONLifespan's executive compensation philosophy balances appropriate stewardship of resources and the need to be competitive in recruiting and retaining talented individuals. It incorporates market-competitive and performance-related principles, and covers the President and CEO of Lifespan as well as other officers, senior management, and key employees. Lifespan's executive compensation program complies both with law and with contemporary ethical norms, and is administered consistent with the organization's tax-exempt status under Section 501(c)(3) of the Internal Revenue Code (IRC) and the avoidance of transactions subject to intermediate sanctions under Section 4958 of the IRC. Executive compensation is also administered consistent with Lifespan's Corporate Compliance Policy on Excess Benefit Transactions. The Compensation Committee of the Lifespan Corporation Board of Directors (the Committee), comprised of disinterested Lifespan Board members, is responsible for diligent oversight of executive compensation to ensure compliance with IRC requirements. Its duties include:* Approving eligibility for participation in the executive compensation program * Approving changes in compensation for existing executive participants * Approving guidelines, such as salary ranges and contract terms, on appropriate levels of compensation for other key employees* Approving new, and modifying or terminating existing, executive compensation plans including, but not limited to, annual incentive and executive benefit plans* Approving performance objectives associated with Lifespan's annual incentive plan, including measuring points, and using verified actual performance relative to these objectives as a precondition to approving the payment of any awards under the plan* Authorizing periodic performance benchmark studies to be conducted for purposes of assessing Lifespan's performance within the healthcare industry and the degree to which total remuneration levels at Lifespan are generally commensurate with Lifespan performance relative to healthcare industry performance* Conducting an annual performance review of Lifespan's Chief Executive Officer. The Chair of the Committee conducts and documents this review, based on his/her observations and interpretation of feedback from members of the Board of Directors.* Selecting and engaging qualified, independent, third-party compensation valuation consultants that the Committee charges with rendering opinions with respect to the reasonableness and comparability of compensation as well as the comparative organizations against which compensation is assessed, in accordance with relevant sections of the IRC and Lifespan's executive compensation philosophy. Lifespan's Chief Executive Officer works closely with the Committee to make recommendations on the above topics and keep the Committee informed about contemplated compensation changes for executives and other key employees, as well as candidates for these roles. The CEO also provides periodic updates to the Committee regarding Lifespan's performance relative to compensation-related performance objectives. The Committee's deliberations and actions are documented in minutes prepared for each meeting.PROCESS FOR DETERMINING COMPENSATION Valuation of Total Cash and Total Remuneration: No less frequently than annually, the Committee receives and reviews a total cash compensation valuation of all existing executive compensation program participants prepared by its independent compensation consultant. Annually, the Committee also receives and reviews a total remuneration valuation of all existing executive compensation participants. Base Salary Actions: The CEO recommends any salary adjustments for participants in the executive compensation program, using the results of the valuation study and his/her assessment of individual performance or other pertinent information, for the Committee's consideration.New Participants in Executive Compensation Program: With respect to compensation offers for individuals expected to participate in the executive compensation program, certain members of the Lifespan CEO's Council work with the Committee's independent compensation consultant or rely on information previously provided by the consultant to establish a range of reasonable cash compensation within which recruitment is expected to conclude through acceptance of a reasonable compensation offer.</ExplanationTxt>
