<Desc>Concordia Lutheran Ministries is the parent company of a network of organizations that provide a full senior care suite of services that include skilled nursing, inpatient rehabilitation, outpatient rehabilitation, personal care/assisted living, independent living, memory care, adult day, childcare, home care, durable medical equipment, pharmacy, and hospice services. For 140 years, Concordia Lutheran Ministries has been a place with a mission of caring, healing, and comfort provided through heartfelt Christian faith and a strong sense of service to others. The Organization, its subsidiaries, and its over 3,100 employees continued to provide high quality services to the residents in its care as it has done throughout its existence, continuing its CARF accreditation for excellence, and having multiple facilities rated 5 stars by the Center of Medicare and Medicaid Services during the fiscal year. Through its ministries, the Organization served nearly 50,000 residents/patients through its 22 organizations with its home and community-based service organizations providing nearly half a million caregiving visits in the last year alone. In pursuit of its mission, the Organization incurred expenses related to management including community benefit expenses, as well as the research and acquisition of retirement communities, skilled nursing facilities, and personal care facilities. These expenses include legal and accounting fees, travel to facility sites, meetings related to acquisition decisions, and other research costs including management's time. The Organization donated over $9 million to affiliate, Harmony Protection Group which provides insurance services to the Organization's subsidiaries.</Desc>

<Desc>The organization was affected by the COVID-19 pandemic in many ways, but through the perseverance of its staff and managers, the organization has been able to weather the storm very well. The organization was able to secure sufficient levels of personal protective equipment ensuring that no staff member would go without protection through the pandemic. Between PPE, UV light sanitizers and other new technologies, cleaning products, hand sanitizer, and much more, Concordia has invested over two and half a million dollars into protecting its staff and the patients in its care. A key factor in both retaining employees and fighting COVID-19 is comprehensive and ongoing training. Continuous job-specific education was a focus for the organization including hand hygiene, doffing and donning PPE, sanitizing high-touch surface areas frequently and, much more. To show its appreciation to its employees, the organization and its subsidiaries implemented millions of dollars in incentive programs for employees to show appreciation for their response to the pandemic. In a year affected deeply by the COVID-19 pandemic, Concordia' has not only persevered but rose to the challenge and proved themselves worthy of the reputation the organization has built over the last 140 years. Even those who worked through the tough battle of dealing with positive COVID-19 cases did so with professionalism and grace and did the best for their residents daily.</Desc>

<Desc>Through the Organization and its subsidiaries, the charitable mission of Concordia Lutheran Ministries was expressed in multiple ways. The Organization and its subsidiaries were able to provide over $2,500,000 in donations and grants to various charities in the Organization's local areas of operations and to individuals across the world in need. These donations and grants include support for but not limited to: soup kitchens, homeless shelters, church ministries, AIDS orphans in Africa, camps for grieving children after parental losses, and natural disaster relief. In addition to providing the donations and grants, the Organization and its subsidiaries continued their missions by providing over $12,000,000 in benevolent care to over 600 residents who exhausted their funds while entrusted to the Organization's care. The Organization is proud to say that in its 150 year history, it has never discharged a resident due to an inability to pay. In addition to providing for those in need, the Organization and its subsidiaries offer a full suite of affordable benefits to its over 3,100 employees including a health insurance program facilitated though the Organization. In addition to offering traditional benefits to its employees, the Organization has also provided countless scholarships, gifts, and other incentives to showcase its commitment to being the employer of choice for its operating areas.</Desc>

<FormAndLineReferenceDesc>Schedule D, Part X, Line 2</FormAndLineReferenceDesc>
<ExplanationTxt>The Organization is a not-for-profit corporation and is exempt from income taxes under Section 501(c)(3) of the Internal Revenue Code. Accordingly, no provision for income taxes has been provided. The Organization adopted the standard for accounting for uncertainty in income taxes recognized in an organization's financial statements that prescribes a recognition threshold of more-likely-than-not to be sustained upon examination by the appropriate taxing authority. Measurement of the tax uncertainty occurs if the recognition threshold has been met. The standard also provides guidance on derecognition, classification, interest and penalties, accounting in interim periods, and disclosure. Management has determined that the adoption of the standard did not have a material effect on the consolidated financial statements. The Organization's policy is to recognize interest related to unrecognized tax benefits in interest expense and penalties in operating expenses. <ExplanationTxt>Concordia Lutheran Ministries offers a full suite of senior care services through its continuum of care. When someone requires skilled nursing, they generally receive one of two types of care: long-term nursing care or short-term rehabilitation. Long-term care is designed for those who need a higher level of care from a variety of health professionals, including a medical director, nurses, therapists, social workers, dietitians and more. Short-term rehabilitation is designed for those who need additional care after a hospital stay or to recover from an illness, injury, surgery or other medical condition. Depending on the needs of the resident or patient, skilled nursing care could be required for years or only a few weeks/months. Eight Concordia Lutheran Ministries locations offer long-term nursing care/short-term rehabilitation: Concordia at Cabot, Concordia of Monroeville, Concordia at Rebecca Residence, Concordia of the South Hills, Concordia at Sumner, Concordia at Villa St. Joseph, Concordia Village of Tampa, & Harmony Physical Rehabilitation. During a year that hit many other skilled nursing facilities across the country hard, Concordia's facilities have continued to thrive thanks to steadfast employees and clear-eyed administration and their dedication to serving our residents and patients. Despite the ongoing pandemic, Concordia's skilled nursing facilities have been able to align, meeting regulations and requirements with the day-to-day needs of residents and patients so that all care is provided in the safest environment possible. Two foundational tools in the fight against COVID-19 are vaccines and effective infection control protocols. Concordia's skilled nursing facilities promoted and held numerous vaccination clinics since late 2020/early 2021 for staff and residents. Thorough education about the vaccine was provided on a regular basis to clearly explain the different types and benefits. Infection control was also a constant topic in staff training, and Concordia's medical directors and corporate nursing team continue to review all new information and regulations as they occur. As in personal care, more surveys were conducted at the majority of our skilled nursing facilities, and all regular training helped our staff prepare while also maintaining excellent quality, reducing hospitalizations and building census. Many of our facilities received deficiency-free surveys this year and achieved or maintained 5-star ratings for overall quality on the publicly reported U.S. Centers for Medicare & Medicaid Services (CMS) website. As the pandemic continues across the globe, Concordia's skilled nursing facilities have weathered their fair share of outbreaks - generally occurring when a facility's county positivity rate is high. Thanks to training, attention to detail and effective disinfection methods, these outbreaks have been handled with care and wisdom instead of panic.</ExplanationTxt>

<ExplanationTxt>When individuals need assistance with activities of daily living, such as bathing and personal hygiene, mobility assistance, wound care, preparation of special nutritional meals or diets, housekeeping, laundry and more, they receive personal care (which includes assisted living at our Ohio and Florida locations). All of Concordia's personal care and assisted living facilities are equipped to care for individuals with memory impairments as well. Concordia of Fox Chapel serves as Concordia's only standalone memory care facility. At Concordia Lutheran Ministries, 12 locations offer personal care or assisted living: Concordia at Cabot, Concordia of Cranberry, Concordia of Fox Chapel, Concordia of Franklin Park, Concordia of Monroeville, Concordia at the Orchard, Concordia at Rebecca Residence, Concordia at Ridgewood Place, Concordia of the South Hills, Concordia of Wexford, Concordia at Sumner (assisted living), and Concordia Village of Tampa (assisted living). Similar to the rest of the world, the effects of the pandemic continue to be felt and mitigated at Concordia's personal care facilities. A marked difference this year has been an increase in the number of surveys performed on our campuses. Many of our facilities have zero deficiencies, and any issues that arise are dealt with quickly and efficiently. To help prepare for the influx of surveys from the Department of Human Services, Department of Health, OSHA and others, our communities continue to train and retrain staff on infection control and best practices in all areas of care. Staffing in personal care is also a challenge that Concordia is meeting with creative solutions. We can confidently state that, as always, appropriate staffing levels have been maintained. A major benefit to Concordia's size and scope is that if an individual location experiences a shortage, staff from other Concordia locations in the area are able to help cover. Because of this teamwork, our personal care communities in Pennsylvania have not had to rely on agency staffing, which is a major benefit for our residents, in terms of maintaining relationships with familiar caregivers who have all received identical training protocols. Our facilities have also brought on new talent this year - several managers in training, employees finishing their degrees while working at Concordia to further their careers and more. Multiple staff members and members of the community have also taken advantage of Concordia's partnership with Butler County Community College to become RNs and LPNs through our Tuition Assistance Program. We will continue to train and mentor these new leaders and employees to secure the future of Concordia. Customer service initiatives have also been set and achieved. Positive, uplifting customer service is a crucial element in personal care, and all staff have made it a priority to care for residents and interact with families with this mindset. Facility improvement projects that were delayed due to COVID-19 were also revisited and completed to beautify our residents' homes. No matter what may happen in the future, Concordia's personal care facilities continue to provide excellent care in a compassionate environment and will continue to meet any and all challenges in the future.</ExplanationTxt>

<ExplanationTxt>Retirement living, also known as independent living, is offered at Concordia as a worry-free lifestyle for seniors with every convenience of home. Our apartments and villas are backed by Concordia's brand of quality, security, and value with included amenities like routine maintenance, scheduled transportation, daily events and activities, and much more. Five Concordia Lutheran Ministries locations have retirement living communities: Concordia Haven Apartments (Cabot, PA), Concordia of the South Hills, Concordia at Sumner, Concordia Village of Tampa, and Highpointe at Rebecca. Leaning on Concordia's decades of retirement living expertise, our main goals this year were to continue to meet the challenges presented by the ongoing COVID-19 pandemic while allowing our residents to still safely live their lives to the fullest. The major promotional campaign for retirement living this year was centered around the theme "Best Time Ever." The meaning is twofold; it's the best time to move to Concordia due to the seller's housing market occurring in all of our markets and also because of Concordia's worry-free lifestyle and vibrant community setting. Concordia's activities and events, excellent staff, value-based pricing, Christian atmosphere and much more continue to set it apart from competitors. A large part of keeping life in retirement living engaging and active in the age of COVID-19 is thorough cleaning and constant education. Housekeeping staff at all of our communities continue to step up and go above and beyond to keep our residents, staff and their families as safe as possible - and employees in other departments pitched in as well. Staff and residents were also routinely educated about the latest official updates and recommendations - whether about vaccines, best practices for infection control or new regulations - and retrained regularly. Similar to last year, technology also played a large role in retirement living residents' daily lives. Many of our communities purchased tablets to aid residents in video chatting with their families and attending telehealth appointments. As some residents continue to rely on delivery services for groceries and other essentials, employees have been instrumental in training residents to competently navigate ordering websites.</ExplanationTxt>

<ExplanationTxt>Concordia Visiting Nurses (CVN) has provided high-quality nursing care and a variety of therapy services to people in their own homes since 1998. CVN offers skilled nursing care, social work oversight, physical therapy, occupational therapy, speech therapy, palliative care, telehealth, disease management, spiritual care and specialty services, family educators, and Tele-Caregivers. CVN currently employs 400 dedicated professionals at four branch offices. We continue to serve 13 counties in Pennsylvania: Allegheny, Armstrong, Beaver, Butler, Greene, Lawrence, Washington, parts of Clarion, Indiana, Fayette, Mercer, Venango, and Westmoreland. CVN currently employs 440 dedicated professionals at three branch offices that serve 11 counties in Pennsylvania: Allegheny, Armstrong, Beaver, Butler, Greene, Lawrence, Washington and parts of Clarion, Indiana, Fayette and Westmoreland. CVN provided 337,776 professional service visits in our territories - over 40,000 more than last year - to 18,400 patients, nearly 3,000 more than last year. With Concordia-IRMC VNA being relatively new to the Concordia Family, we are still working to evaluate and improve processes and procedures to maximize the potential of the agency. We are thrilled to see the potential that exists in the region and to be working with experienced and talented people through this partnership. Like Concordia's inpatient locations, its professional home health offices and staff rose to the challenge of surveys and also earned accreditations. CVN had a deficiency-free state survey and successfully obtained recertification from the PA Department of Health in August 2020. CVN completed the long process to receive accreditation for Home Health at the beginning of this fiscal year through the Accreditation Commission of Health Care (ACHC), an independent, nonprofit accrediting body whose mission is to promote the quality, value and optimal outcomes of services through a consultative accreditation process. The agency received another accreditation from ACHC for Home Infusion Therapy Services in December 2020 that will last until 2023. While the COVID-19 pandemic continued to bring complications for operations, it also brought opportunities. CVN's leadership team was able to meet regularly with groups across Concordia's continuum of care to continuously evaluate the current environment regarding state and federal guidelines and regulations for the safe care of residents or patients with suspected or known COVID-19 infections. Staff were also trained on the best practices outside of work, especially when staffing was a challenge due to quarantines from known exposures or positive test results. A staffing contingency plan was put into place so the agency would be able to continue its mission to care for as many patients as possible, as safely as possible. Concordia's professional home health services were also able to see the benefits of Concordia's Tuition Assistance Program at Butler County Community College. The program allows nursing students to complete the BC3 Nursing Program tuition-free with the added bonus of securing a job at Concordia upon graduation. An enhancement to the program was introduced in the summer of 2020 that provides the added incentive for Concordia employees to have the cost of their textbooks fully reimbursed by Concordia at the conclusion of each semester, contingent upon the employee passing her/ his assigned courses. Many current employees and new students have been recruited for the program, and as the program grows it can help provide Concordia with a pipeline of outstanding nurses for years to come.</ExplanationTxt>

<ExplanationTxt>When a loved one needs hospice care - also referred to as comfort care when the option of curative treatment is no longer beneficial - many families are overwhelmed by the many options and decisions presented to them. At Concordia, we take a highly individualized approach to end-of-life care that serves the patient and his or her family with dignity and comfort. One of the most notable accomplishments for Concordia's hospice services this fiscal year was the ability to care for patients and families in their homes and inpatient settings despite COVID-19 and the nationwide nursing shortage. CHOW increased its average monthly referrals and continues to increase referral conversions from Concordia Visiting Nurses' palliative care patients. GSH's census remained steady, and it was able to take referrals and proceed with operations as usual. The company's conversion rate of referrals improved from 82.6% to 100% this year, a testament to the intake department and liaisons working together to provide care to every person who needed it. GSH physicians and nurse practitioners also utilized telehealth visits for hospice patients, a new practice for the agency that patients and family members greatly appreciated. The recruitment and retention of great employees continues to be a goal across all of Concordia's hospice companies. GSH supports staff as they train to become certified in hospice and palliative care and had three registered nurses and one licensed practical nurse become certified. The certifications not only help the employees but also help GSH offer the highest quality end-of-life-care possible. CHOW developed an improved orientation and onboarding process that helps new staff members thrive and also held weekly clinical education meetings to improve clinical outcomes. CHOW also formed an after-hours triage partnership with Concordia- IRMC VNA to standardize care. As always, volunteers play a pivotal role in hospice care at Concordia. GSH had 83 active volunteers this fiscal year who provided a total of 1,867 hours of service by helping with bereavement opportunities, clerical tasks, patient service, inpatient unit support and special events. CHOW organized community volunteers with its Cardinal Project, and the group was able to donate over 200 birdhouses to nursing facilities in Allegheny, Washington and Greene Counties. Despite the challenges of having in-person events during the pandemic, Concordia's hospice companies were able to provide bereavement services for families and the community. GSH hosted a Butterfly Memorial Release in August 2020 with 150 in attendance, and CHOW also held a Butterfly Release in August 2020 with roughly 500 butterflies sold. CHOW held a virtual support group and also extended bereavement services to Washington Health System employees and patients during the peak of the pandemic. GSH's Camp Erin Pittsburgh was replaced with a new program this fiscal year: Youth Bereavement Care. The program was designed to meet the needs of grieving children year-round instead of just during a once-a-year event, providing a variety of activities ranging from individual counseling to virtual programs and live events. The program kicked off on May 21, 2021 with its first in-person program that hosted over 30 children at The Mansion in Butler, and in the months since has maintained engagement with children and their families.</ExplanationTxt>

<ExplanationTxt>In Concordia's continuum of care, many different medical services are offered - both in-home or in one of our facilities. Sometimes, however, seniors or people with limited abilities just need a helping hand. Concordia Private Care, under Concordia's home and community-based services arm Concordia Community Support Services (CCSS, fulfills this need for hundreds of people, offering assistance for tasks like daily housekeeping, meal preparation, bathing, dressing and hygiene care. Concordia Private Care (CPC) employs 54 staff members across western Pennsylvania who served 817 persons with 43,672 in-home service visits this year - nearly 3,000 more than last year. Contracts are important for a company like CPC, as they define the flow of work and dictate what areas are covered. Throughout the pandemic, residents and patients at every level of Concordia have used CPC's services for short-term or long-term assistance when family or other help was hard to find - especially in retirement living. In order to remain focused on the needs of Concordia's retirement living residents, CPC eliminated its Westmoreland County AAA contract to free up more staff members. CPC also signed a contract with Highmark for their non-skilled Medicare Advantage supplement program, which means our staff will be able to help even more people than before. CPC was also able to expand their footprint in a new region. Earlier this year, CPC successfully incorporated Indiana VNA's customer base when that company's private duty agency permanently closed their doors. This means that customers in Indiana County will not lose coverage, and Concordia's visibility in the region will increase. While CPC has always been a pivotal service line at Concordia, the importance of private care has been truly seen during the past two years. CPC staff continue to be a lifeline for many residents and patients, both at Concordia facilities and in the community, due to the companionship, care and wide array of services they provide.</ExplanationTxt>
