The Women's Board contracts with MMC to provide management and support services for its operations. Committees are established by the officers. One key committee of the Women's Board is the Scholarship Committee. The Scholarship Commitee is annually granted a budget by the elected officers. Using this budget as a starting board, the Scholarship Committee grants medical training scholarships within Maine. All schools are reviewed for accreditation and are asked for EINs and IRS exempt code status. All scholarships are first approved by the Scholarship Committee and then approved by vote of the members of the Women's Board at a regular Women's Board meeting. Form 990, Part VI, Section A, line 3 The Women's Board contracts with MMC to provide management and support services for the Pavilion Grill, Gift Shop, and Boutique that are available for the convenience of MMC patients, visitors, and employees. The manager of each shop (as well as some service of other staff) are employees of MMC. The Women's Board purchases these services from MMC. The total value of these services for this fiscal year is reported in part VII, Section B, Line a. MMC performs management functions including hiring, firing, training, and supervision of all empoyees under these contracts. Form 990, Part VI, Section A, line 6 Membership consists of women who are interested in supporting the programs and services of the Women's Board through volunteer service. Form 990, Part VI, Section A, line 7a New members must be elected from a list of candidates prepared by the nominating committee from the recommendation of any board member. Active members shall be elected by a majority vote of the members present and voting at any regular meeting of the organization. There are two classes of members; active and sustaining. Active members must justify their membership though some sort of service related to the Women's Board activities. All active members shall serve as trustees of the organization. Sustaining members are those who, after at least ten years of service as active members, may wish to be dues-paying members but not be required to do volunteer service on a regular basis. They enjoy all the rights and privileges of active membership, including service on committees, but shall not hold office. Members each have one vote and elect officers annually. Officers appoint shop chairmen. Officers and chairmen make up the executive committee (the governing body). Important business is brought up at regular member meetings by the executive committee and/or other committees appointed by officers. Key decisions are approved by members in attendance at regular Women's Board meetings. Votes are official only if 7 or more members are in attendancce and members that are present each have one vote. However, the president, treasurer, and assistant treasurer of the organization review and approve the 990. To date, no conflicts of interst have been disclosed. However, in the event of a conflict of interest, policy would be enforced to ensure the goals of accountability and transparency are being met.
