Part VI, Line 7a The members of the Board of Directors are elected by the Member associations. Each elected director shall be a person who serves as a member or alternative member of a Member association's board of directors or other governing body the chief administrative officer of a Member association or an officer of a member company of a Member association. The Members of NOLHGA meet to elect the Board of Directors during the NOLHGA Annual Meeting held in October. Part VI, Line 7b The Board of Directors shall manage and conduct all the affairs of NOLHGA except as to those acts which are reserved by the Articles of Incorporation or the Bylaws to be performed by the Members. Part VI, Line 12c Each year all directors officers employees and consultants of the organization are required to complete a conflicts of interests questionnaire. The conflicts of interest policy is enforced by the officers or the Board of Directors of the organization in accordance with the policy. Part VI, Line 15 The NOLHGA Compensation Plan was established by the Board of Directors. The salary ranges and total cash compensation are established based on median market levels. This information is provided by an independent consultant who specialize in the development and analysis of non-profit corporation compensation and employee benefit plans. The Compensation Committee reviews the analysis provided by the independent consultant and the compensation adjustments recommended by the President. All officer compensation arrangements and changes are reviewed by the Compensation Committee. Following further discussion the Compensation Committee forwards their proposed recommendations to the Board of Directors for their review and approval. Part VI, Line 19 The organization considers the release of its governing documents conflicts of interest policy and financial statements on a case-by-case basis.
