It is paid through Warm Hearth, Inc. Form 990, Part VI, Line 15 Warm Hearth, a related organization, compensates the organization's officers and employees. A committee of the board of directors is appointed to review the compensation levels of officers and key employees and for establishing the new pay rates of these employees. Compensation is compared with salary survey information available from national trade associations engaged in similar activities. The compensation level is determined by consensus of the committee and reported to human resources. Form 990, Part VI, Line 3 Delegation of management duties The Center has an agreement with Warm Hearth Inc, a related organization, to provide the following management services: 1. Development and implementation of financial, administration, professional, and staffing controls and procedures to achieve the orderly operation of the nursing home facility. 2. Management of the nursing home facility including serving as the employer of all employees of the facility and providing oversight of such employees, maintaining all necessary licenses, purchasing necessary supplies and equipment, reviewing and negotiating contractual arrangments with independent contractors, preparation of monthly financial, operational, and management status reports for the center, implementing repairs and maintenance of all the facility's equipment, plant, and buildings, coordinating all legal matters and proceedings with the center's counsel, and implementing all policies and procedures relative to the operation of the facility. 3. Maintenance of full and complete documentation regarding all of its actions taken to fulfill its management duties. Information regarding compensation paid to the center's officers by Warm Hearth has been reported in Part VII and Schedule J since Warm Hearth is a related organization. Form 990, Part VI, Line 11b Review of form 990 by governing body A copy of the return is provided to the finance committee of the board of directors prior to filing. The finance committee discusses the 990 at their regular scheduled meeting in May of each year. The finance committee is responsible for receiving the audit reports of the independent auditor and reviewing the Form 990 prepared by the independent accountants. The finance committee reports back to the board of directors any recommendations or findings of their study. Form 990, Part VI, Line 12c Conflict of interest policy The employee handbook has a statement of the code of conduct and the conflict of interests policy. The board member orientation materials include this information as well. The employees are asked to review this policy as a part of their annual performance review and board members are requested to update their commitment to this policy upon re-election to a new term.
