Beginning in kindergarten, youth may join our Lion Scouts program and learn about the outdoors, build crafts and develop their social skills. In the first grade, they become Cub Scouts and become more active in outdoor programs, including camping, and are more involved in community service. After the fifth grade, they transition into Boy Scouts and experience more of the outdoors and learn about their role as young adults in their family and community. Young men and women aged 14 - 20 have an opportunity to take part in a high-adventure program called Venturing and engage in more challenging outdoor activities such as white water rafting and alpine trekking. 604156 40561 1587 Learning for Life Programs - Our non-traditional Scouting programs are diverse and range from providing opportunities for high school students to explore career opportunities to providing tutors and mentors to help inner-city youth with their school work. Our Peaceful Valley Scout Ranch is spread over 3,500 acres in Colorado's Black Forest area. This property hosts three distinct camp operations and offers a unique array of programs and experiences including aquatics, shooting, cycling and horsemanship. Tahosa Rocky Mountain High Adventure Base is a 300 acre mountain camp designed for older Boy Scouts and Venture Scouts. Our Cub Scout Day Camps offer weekly programs at parks, churches and other community areas. Form 990, Part VI, Section A, line 1 In accordance with the bylaws, the Board of Trustees include Lifetime Trustee members and Past Chairmen, though they have no voting rights. Form 990, Part VI, Section B, line 12c The Council monitors and enforces compliance with the written conflict of interest policy as follows. The Scout Executive and Secretary of the governing board obtains conflict of interest statements from members of the governing board and staff. The Scout Executive has the additional responsibility to identify and report transactions involving members of the governing board, staff and associated related parties at a regular meeting of the governing board of trustees for approval of those transactions, if any. Form 990, Part VI, Section B, line 15 The compensation of the Scout Executive is established by an executive committee of the governing board, generally, consisting of the Chairman, President, Executive Vice President and other governing board members appointed by the President. The Scout Executive's compensation is reviewed, at least annually by this executive committee. The review includes an assessment of performance against established metrics for the individual as well as the organization as a whole. The compensation review includes comparative salary data for similar organizations provided by a compensation and benefits specialist. Any adjustments to the Scout Executive compensation plan is approved and authorized by the executive committee. Additional public information is available upon written request and may be reviewed in the Council's offices during normal business hours. In addition, a copy of the current financial statements and annual public information filings with the state and federal government are mailed within the United States at no cost upon written request. Form 990, Part XI, line 9: Charter fee paid to the national Boy Scouts of America -106,800. Contribution to Victims Trust -6,000,000. Oversight and Selection Process of Independent CPA Firm: The Council has a committee that assume responsibility for the oversight of the financial statement audit and selection of an independent CPA firm. There were no changes in the process during the year. National Council Financial Restructuring and Claims: The National Council provides the Council with a charter, program materials and support for administration as well as sponsoring certain benefit plans for Council employees. On February 18, 2020, the National Council filed for protection under Chapter 11 of the United States Bankruptcy Code. The National Council continues to operate its business in the ordinary course and has received bankruptcy court approval to continue its relationship with the Council including the benefit programs noted above. Neither the Council nor any other local council are currently parties to the bankruptcy proceeding as each is legally separate, distinct and financially independent from the National Council. The National Council has sought to stay litigation against both the National Council and local councils and has proposed a plan of reorganization that would protect local councils from any further legal exposure for abuse claims arising prior to February 18, 2020. Subsequent to December 31, 2020, and pursuant to the proposed settlement of abuse claims and the National Council bankruptcy proceedings, the Denver Area Council offered to make a $6,000,000 contribution to the Victims Trust. In consideration of this contribution, the Council will be released, in full, of all Victim claims outstanding as of February 18, 2020. In addition, the Council will receive a channeling injunction which will prohibit future claims and/or litigation against the Council if the factual basis of the claims occurred on or before February 18, 2020. The channeling injunction will require that all future claims from February 18, 2020 and prior be filed with the Victims Trust for compensation. The proposed contribution, should it be accepted, would be paid with a combination of funds, including unrestricted operating reserves as well as proceeds from the potential sale of properties held in the capital fund. Consequently, and on a preliminary basis, the Council recorded the proposed contribution as an expense of $6,000,000 in the operating fund. The Council also recorded a transfer of $4,500,000 from the capital fund to the operating fund, representing the estimated proceeds from the potential sales of properties. The ultimate settlement and decision on how to fund this amount is uncertain at this time and the related accounting estimate may be revised in the future.
