All directors must reside or work in the Greater Austin SMSA.No less than three (3) and no more than six (6) Ex-Officio Directors will assist the corporation. Ex-Officio Directors will be selected and appointed by the Board of Directors as appropriate based on economic development programs, initiatives, and opportunities. The initial Ex-Officio Directors shall consist of:a. The Chair of the Greater Austin Chamber of Commerce;b. The Immediate Past Chair of the Greater Austin Chamber of Commerce;c. The Vice Chair for Economic Development of the Greater Austin Chamber of Commerce;d. The President of the Greater Austin Chamber of Commerce.The Chairman shall appoint the Nominating Committee. The Nominating Committee shall nominate person to be members of the Board of Directors on an annual basis and otherwise as needed to fill any vacancies.Each Director shall be elected for a term of three (3) years. There shall be no limitation on the number of consecutive or subsequent three (3)-year terms to which a Director may be elected; however, any sitting Director must be re-nominated and approved for an additional term or terms as provided in the Bylaws at the expiration of each three (3)-year term.
