Form 990, Part VI, Section A, line 4 During the year ended June 30, 2019, the Organization's bylaws were revised to specify the number and qualifications of the Board of Directors. Specific language from the amended bylaws is below: The Board shall have up to 13, but no fewer than 9, regular Board members. the number of regular Board members may be increased beyond 13 members or decreased to less than 9 members by an affirmative vote of a simple majority of the then serving regular Board of Directors. A Board member need not be a resident of the State of Maine. In addition to the regular membership of the Board, representatives of such other organizations or individuals as the Board may deem advisable to elect shall be Ex-Officio Board Members, which will have the same rights and obligations, including voting power, as the other directors. A conflict of interest arises if a person's judgement and discretion is, or may be, influenced by personal considerations or if the interests of SKILLS are jeopardized. Specifically: - Relatives, domestic partners, or employees who are dating should not supervise or report to each other, nor should they work on the same shift at the same location. - Other outside employment is prohibited to the extent that it interferes with an employee's performance. - Proprietary information used by SKILLS should not be used for any outside employment purpose or personal use. - Borrowing funds and/or items from individuals we support is prohibited regardless of whether the individual agreed to the loan or not. The Executive Director currently has a written and Board approved contract. Compensation for the Executive Director and Directors is evaluated when changes are made and every three years by an independent consultant specializing in Human Resources.
