Form 990, Part VI, Line 4: Description of Significant Changes to Organizational Documents The number of the governing body's voting members was increased from 7 to 9.The board adopted a Conflict of Interest Policy as an Appendix to the Organization's By-Laws. Form 990, Part VI, Line 6: Explanation of Classes of Members or Shareholder The membership of the Corporation is open to any individual fifty years of age or older. Members with the right to vote at Emporia Senior Center shall be those who participate by taking meals at the Center, joining in recreational activities or special events at the Center. A membership roll is maintained by the Board of Directors or by a person designated by the Board of Directors. If a member does not participate during a calendar year, that name is removed from the roll. Form 990, Part VI, Line 11b: Form 990 Review Process A draft copy of the return was provided to the Executive Director who reviewed the return and presented the draft to the board for review at their monthly board meeting prior to the filing of the returns. Form 990, Part VI, Line 12c: Explanation of Monitoring and Enforcement of Conflicts The Board Secretary and Executive Director will instruct the Board of Directors to disclose "Conflicts of Interest" or "the appearance" or "potential conflicts" annually at the January board meeting. The disclosures are announced and recorded after the new year officers are instilled. The disclosures are recorded in the minutes and in writing on a disclosure form. The disclosure forms are maintained in safe keeping by the Executive Director.Additionally, any new board members appointed by the Board President must disclose any Conflicts of Interest in open meeting. The responses are recorded in the minutes. Form 990, Part VI, Line 19: Other Organization Documents Publicly Available Documents are available upon request and by an appointment made with the Executive Director.
