The Methodist Hospital, Texas Children's Hospital and Memorial Hermann Hospital are named in the governing document as representatives of the Beneficiaries. Pursuant to Treas. Regs. 1.509(a)-4(d)(2)(i)(b)(2), each Beneficiary must be closely related in purpose or function to the three named beneficiaries and must be an organization described in section 501(c)(3) other than a private foundation, within the meaning of section 509(a)(1). Part IV, Section A, Line 6 CTHC makes grants to beneficiary organizations not named as supporting organizations in its governing document. See response to Schedule A, Part IV, Section A, Line 1 above. These grants are paid to further the health care exempt purpose of each named supported organization and are approved by the named supported organizations through their representation on the CTHC's board of trustees. Accordingly, the organization reviews the progress reports and other financial data received from recipients to ensure proper use of granted funds. Form 990, Part VI, Section A, line 4 The Bylaws were amended to provide the Trustees the authority to employ agents and employees and to delegate to them duties and responsibilities as permitted under the Trust Agreement. Form 990, Part VI, Section A, line 7a The Cullen Trust For Health Care ("CTHC") is organized and operated for the benefit of a class of health care institutions within the State of Texas, primarily with respect to those institutions within the greater metropolitan Houston area (the "Beneficiaries"). CTHC was formed with three named Beneficiaries acting as Representatives of the Beneficiaries. The named Representatives are The Methodist Hospital, Texas Children's Hospital and Memorial Hermann Hospital. CTHC was formed with two classes of Trustees: Public Trustees and Health Care Trustees. There are three Health Care Trustees and four Public Trustees resulting in a total of seven Trustees. Each of the three Representatives is responsible for appointing a Health Care Trustee. If there is a vacancy in the office of a Public Trustee, that vacancy shall be filled by the affirmative majority vote of all remaining Trustees, both Public Trustees and Health Care Trustees. However, if there are more Public Trustees entitled to vote than there are Health Care Trustees entitled to vote, only the same number of Public Trustees as there are Health Care Trustees shall be entitled to vote and the Public Trustee not entitled to vote shall be ascertained by lot. The governing bodies of the Beneficiaries may by official unanimous action remove any or all of the Public Trustees. The resulting vacancies shall be filled as noted above. In addition, each Representative may remove the Health Care Trustee appointed by such Representative. Once prepared, the board chair and administrative assistant review the form prior to filing. In addition, a copy of the 990 is distributed to the board prior to filing.
