The Executive Committee is delegated the Board's authority between regularly scheduled Board meetings for: the interpretation of policy directions as needed, addressing any administrative or personnel matters exceeding the President's authority or which the President feels warrants Board scrutiny, personnel matters involving the President, development and clarification of medium-term goals, input as necessary into ongoing IAGC activities, IAGC-wide governance issues exceeding the President's authority, nomination of directors and officers for Board action. Form 990, Part VI, Line 6: Explanation of Classes of Members or Shareholder Five classes of members - Governing: Any company that satisfies the requirements of 1 and 2 below:1. The company's primary business is one or more of the following:Geophysical data acquisition contractor;Geophysical data processing contractor;Owner and supplier of multi-client geophysical data for license;Geophysical service provider; orGeophysical equipment supplier/manufacturer.2. The company is:Not owned by a government or an oil and gas exploration and production company (E&P company); orOwned by a government or an E&P company and:-Receives at least 35 percent of its revenues (from geophysical products and services) from sources other than its owner(s) or other companies or government agencies affiliated with its owner(s), measured based on a rolling average for the last three 12-month periods that have been closed and reported; and-Maintains a viable, ongoing business providing geophysical goods and services outside its home country. Contributing: Any company that meets the Governing Member definition but declines participation as a Governing Member.Associate: Any company that:Provides products services to the geophysical or E&P industry; orHas revenue less than $10 million and meets the definition of Contributing member, but chooses not to participate at that level.Industry Partner: A non-geophysical company that has interest in supporting the mission and objectives of the Association, but does not otherwise qualify for membership. Academic institutions are also eligible to join IAGC as Industry Partners.Honorary: Person who has rendered outstanding and distinguished service in furthering the mission of the IAGC and well-being of the geophysical industry. The Board of Directors selects and appoints Honorary members. Form 990, Part VI, Line 7a: How Members or Shareholders Elect Governing Body The Board of Directors is the governing body of IAGC. Directors are elected by vote of membership. See previous item for the full description of classes of members. Form 990, Part VI, Line 7b: Describe Decisions of Governing Body Approval by Members or Shareholders Voting members (Governing, Contributing and Associate) may vote on matters brought up before the membership. Each member has one vote, and the following decisions require their approval: amendment of Articles of Incorporation: amendment of Bylaws: election of directors; approval of any member meeting minutes for adoption: and any other matter properly put to the membership as provided in the Bylaws. Form 990, Part VI, Line 11b: Form 990 Review Process Outside accountants conduct a review of financial statements under the supervision of the President, Treasurer and Director - Membership & Administration. The Form 990 is prepared by a separate outside accounting firm and is reviewed and approved by the President and Director - Membership & Administration. A copy is provided to the Board of Directors prior to filing. Form 990, Part VI, Line 15a: Compensation Review & Approval Process - CEO, Top Management For the IAGC President, any compensation decisions are supported by comparability data, and are led by the IAGC Chairman with the support of the Executive Committee and are approved by the Board as part of the annual budget approval process. Form 990, Part VI, Line 15b: Compensation Review and Approval Process for Officers and Key Employees Regarding key employees of the organization, we follow a similar process to that described in 15a, but which is led by the IAGC President. All changes in compensation of IAGC President and key employees are approved by the Board as part of the annual budget approval process and documented in writing and archived.
