Schedule A, Part IV, Section A, Line 6 During 2017, the organization contributed $350,000 to the Greater New York Hospital Foundation, Inc.'s Puerto Rico hurricane relief fund on behalf and acting as an agent of its supporting organization for a de minimus amount. In addition, a $9,425 donation was made by Montefiore Information Technology, LLC, a disregarded entity of the organization to Mosholu Montefiore Community Center for $7,500 the Children's Hospital at Montefiore for $1,200 and other charitable organizations ($725). Schedule A, Part IV, Section C, Line 1 The Corporation satisfied the criteria for Type II supporting organization status during its 2017 tax year as follows. With respect to most of the Corporations supported organizations, the Corporation satisfied the Type II relationship because a majority of its Trustees also comprised a majority of the Directors or Trustees of those supported organizations. With respect to four of the Corporation's supported organizations, the Corporation did not have such majority Board overlap, but the Corporation satisfied the requirement in other ways. The instructions to Schedule A provide that "there must be common supervision or control by the persons supervising or controlling both the supporting organization and the supported organization(s) to ensure that the supporting organization will be responsive to the needs and requirements of the supported organization(s). This relationship is most clearly established when the same persons serve as all or a majority of the directors or trustees of all of the organizations involved. However, there may be other ways to establish this relationship." In this regard, the Internal Revenue Manual, in section 7.26.5.2.2.1 (03-30-1999), provides that that: "If fewer than a majority of the persons have the "requisite commonality" ...other facts and circumstances... must clearly demonstrate that the supporting organization can and will be responsive to the needs or demands of each publicly supported organization and can and will be an integral part of, or maintain a significant involvement in, the operations of each supported organization." The Corporation is an integral part of and maintains significant involvement in the operations of these four supported organizations, and is under common supervision or control with such supported organizations sufficient to ensure that the Corporation is responsive to their needs. The facts and circumstances demonstrating as much include the following: First, there is common supervision and control by virtue of the fact that two senior executives of the Corporation serve on the Board of Trustees of each of the two supported organizations. This overlap ensures regular communication of the needs of the supported organizations to the Corporation so that it can be responsive to those needs. Section 7.26.5.2.2.1 of the Internal Revenue Manual provides, for purposes of the Type II relationship, that common control "does not require that the 'same persons' hold identical positions in each and every publicly supported organization. For example, if the chief operating officer of the hospital sat on the board of the holding company, that person would be considered a person vested with control or management of both organizations even though he or she held different positions in each." The structure of overlapping Boards and executive participation on supported organization Boards was designed to facilitate regular communication and to foster operating on a coordinated basis consistent with the objective of being a highly integrated and efficient healthcare system. Second, the nature of the Corporation's purposes and activities demonstrates that the Corporation is necessarily responsive to the needs or demands of each of its supported organizations and that it is an integral part of, and maintains significant involvement in, the operations of each supported organization. The Corporation was formed to serve as the parent entity of the hospitals and other healthcare providers within the Montefiore Health System and, in such capacity, it oversees, supervises and coordinates their missions, governance, policy making, resource allocation and strategic planning, and provides other forms of support for their benefit. Third, the Corporation is an integral part of and involved in the operations of the four supported organizations by virtue of the Corporation's status as their sole corporate member. In such capacity, the Corporation has various reserved powers over and roles with respect to the supported organizations including relating to the appointment of the respective Boards of the supported organizations. Through this power in particular, the Corporation can ensure that the Corporation continues to maintain a direct presence, through Board representation, on each of the supported organization's Boards, so as to enable the Corporation to be aware of and responsive to the needs of the supported organizations. In its capacity as the sole member, the Corporation is also aware of and/or involved with key activities, operations and needs of the supported organizations, such as capital needs and strategic plans. Fourth, as part of the same integrated healthcare system as the Corporation, the management and staff of the four supported organizations operate in close coordination with the management and staff of the Corporation on a regular basis as a practical matter. In particular, there is generally regular coordination and interaction among the Boards, officers, and other leadership of all of the entities within the Montefiore Health System. Form 990, Part VI, Section B, Line 12C The organization regularly and consistently monitors and enforces compliance with the disclosure policy by means of a survey form developed by counsel and approved by the Legal and Compliance Committees of the Board of Trustees. The survey is sent to all trustees, officers and key employees for completion. All survey responses are reviewed by the compliance officer. Any potential conflicts identified in the responses are discussed with senior management and/or the Legal and Compliance Committees of the Board of Trustees. Potential actions to be taken in response to a conflict would be one or more of the following: 1)Disclosure of conflict; 2)Individual recusal from decisions for transactions where that individual may have a conflict; 3) Request the individual to alleviate the conflict; or 4)Removal of the individual from the Board of Trustees. Form 990, Part VI, Section B, line 15A & Line 15B Montefiore is committed to ensuring that its executive compensation program adheres to the highest standards of regulatory compliance and best corporate governance. The Board of Trustees has charged the Compensation Committee of the Board (which is comprised of independent Board members with no conflicts of interest in regards to executive compensation) with making all decisions related to compensation for officers and certain key employees. All decisions made by the Compensation Committee are appropriately and timely documented in meeting minutes. The compensation committee's review process follows the Intermediate Sanctions guidelines for qualifying for the rebuttable presumption of reasonableness. The Committee retains an independent compensation consultant to assist it with this process. Compensation levels are established considering data for comparable organizations, an assessment of management performance (including the services provided to the community), and other business judgment factors, consistent with Montefiore's executive compensation philosophy. The Committee's decisions are made in the best interest of Montefiore, and are intended to ensure the recruitment and retention of key executive talent, consistent with the market practices of other not-for-profit healthcare organizations of comparable scope, mission and complexity. On an annual basis, the Committee provides the full Board of Trustees with a description of the committee's review and approval process and its decisions. Form 990, Part VII, Column (B) The five highest compensated by the organization time is allocated back to the Health System's affiliate organizations based on estimated time spent on the related organizatons. Expenses are reimbursed back to the Health System based on membership fees assessments. Form 990, Part IX, Lines 8, 9 & 10 Concerning Employee Benefits Allocation: All employees benefit costs, including pension and payroll taxes, for the system's parent organizations are charged to Montefiore Medical Center. The Medical Center, in turn, assesses the parent organizations for a composite rate based on salaries for all benefit costs. The organization's assessment for employee benefits is reflected on line 9, Other Employees Benefits, of Part IX that includes cost for both pension and payroll taxes.
