Form 990, Part VI, Section A, line 7a Members elect the governing body (Board of Directors) at the annual meeting, on an annual basis. Form 990, Part VI, Section A, line 7b The membership must approve decisions that involve substantial transfers of cooperative assets, amendments to the cooperative's bylaws, as well as other decisions requiring approval of the membership by law, the articles of incorporation, and/or the cooperative's bylaws. Form 990, Part VI, Section B, line 11b The Form 990 was reviewed extensively by the Chief Financial Officer before the return was filed. A copy of the Form 990 was also provided to the Board of Directors at a monthly meeting before the form was filed with the Internal Revenue Service. Form 990, Part VI, Section B, line 15 Utilizing salary data from the NTCA as well as the cooperative's financial data, the board of directors determines and approves compensation as well as raises for the Chief Executive Officer. Compensation for other officers and employees is determined using a pay scale based on the NTCA Compensation and Benefits survey. The Human Resource Manager reviews the compensation for the other officers and employees. The board of directors approves the compensation of these individuals when it reviews and approves the annual budget.
