The draft was then distributed to the entire Board electronically. The entire Board had an opportunity to comment on the return before it was finalized and filed. Form 990, Part VI, Section B, Line 12c Conflict of Interest Policy: Members of the Board of Trustees of the Texas Bar Foundation have a fiduciary responsibility to the Texas Bar Foundation.* Board members acting in their official capacity must exercise their authority exclusively for the benefit of the Texas Bar Foundation and may not engage in activities to their own benefit which are detrimental to the Foundation.* Annually, and more often as circumstances dictate, Board members shall disclose interests that could give rise to conflicts.* The Secretary/Treasurer is charged with monitoring compliance with the Conflict of Interest policy. The full Board is charged with enforcing compliance. Annually at the January Board meeting the Secretary/Treasurer will report on matters which may have arisen during the year.
