Form 990, Part VI, Section A, line 4 During FY2017, the Organization amended its bylaws and made the following significant changes: 1. Faculty and Student Board Members are moving from voting members of the Board to a new status of being non-voting "representatives to the Board" thus retaining the Board's connection to the Faculty and Student communities, and allowing the Faculty and Student representatives to remain connected to the Board, to be part of, and to witness the interactions of the Board in policy setting upon recommendations of the President. As of now, the Faculty and Student representatives do not participate in executive sessions. 2. Made changes to the membership of the Executive Committee and provides that the Executive Committee reviews the performance and compensation of the President or charges a subcommittee to do the same. 3. Added a Strategy Committee as a standing committee and addresses the membership and duties of the committee. This will be the committee that advances and evaluates the Strategic Plan of the College, and creates and dissolves Strategic Educational Business Units. 4. Article XVIII (Precedence of Bylaws) was added to make clear that "except as may be constrained by the Articles of Incorporation and by statute," these Bylaws "shall govern, take precedence over, and inform all policies, documents, and relationships of and between the College [including its SEBU's and affiliated units] and its officers, faculties, staff and employees."
