LIABILITY FOR UNCERTAIN TAX POSITION (ASC 740) Schedule D, Part X, Line 2 The School and the Trust are exempt from federal income taxes pursuant to Section 501(c)(3) of the Internal Revenue Code (the "Code") according to Internal Revenue Service (the "IRS") determination letters dated September 4, 1974 and May 10, 1988, respectively. ESD, however, is potentially subject to tax on unrelated business income under the Code. WBL is exempt from federal income taxes under Section 501(a) of the Code according to a determination letter from the IRS dated May 15, 2001. The Financial Accounting Standards Board (the "FASB") provides guidance for how uncertain tax positions should be recognized, measured, disclosed and presented in the consolidated financial statements. This requires the evaluation of tax positions taken or expected to be taken by ESD in order to determine whether the tax positions are "more-likely-than-not" of being sustained "when challenged"when examined" by the applicable tax authority. A director who is determined to have a conflict will be removed from the decision making process (committee, vote, report, etc.) for that item. Each conflict will be dealt with individually by the board. Each community member is encouraged to report apparent violations or concerns about violations of this code of conduct.
