In addition, the Foundation will make cash grants and gifts to teachers, administrators, staff and/or students of Dallastown Area School District. All gifts and grants will be in furtherance of the educational and instructional activities and programs of Dallastown Area School District. It is expected that grants and gifts be made annually from the income and principal of the Foundation, but there will be no prohibition of making grants and gifts more frequently than annually or, even, on the basis of as needed, though administrative convenience will be a factor. The purpose of the Foundation is to receive and administer funds and gifts by accepting, holding, investing, reinvesting and administering any gifts, bequests, devises, benefits or trusts (but not to act as trustee of any trust), and property of any sort, either absolutely or jointly with any other person, persons or corporation, without limitation as to amount or value, and to use, disburse, donate, transfer, assign, convey or give, the property of the Foundation, or the income or principal thereof exclusively for charitable purpose and exclusively for and for the benefit of Dallastown Area School District and/or its teachers, students and administrators to supplement, enhance and promote its educational programs and activities. Part IV, Section D, Line 3: The Foundation does not maintain significant investment assets. Members of Dallastown Area School District Board of Directors have two seats on the Board and therefore, the entire Board is aware of the status of any investment assets held. Examples of tax positions taken at the entity level include the continuing validity of its exempt organization status, potential filing requirement for unrelated business income and other tax positions that could result in income tax liabilities to the Foundation upon examination by taxing authorities. Current accounting standards require any tax benefits associated with uncertain tax positions that are in excess of a realization threshold to be recorded as a liability for unrecognized tax benefits in the financial statements, along with any associated interest and penalties. Presently, management believes that it is more likely than not its tax position will be sustained upon examination, including any appeals and litigation, such that the Foundation has no exposure to income tax liabilities from uncertain tax positions.
