The guidance prescribes a recognition threshold and measurement attribute for financial statement recognition and measurement of a tax position taken or expected to be taken in a tax return, and also provides guidance on de-recognition, classification, interest and penalties, accounting in interim periods, disclosure and transition. As of December 31, 2023, the Association had no uncertain tax positions that require either reocgnition or disclosure in the Association's financial statements. The Association reimbursed The Ohio State University the entire amount of their employees' salaries, including the Executive Director's salary. The Foundation reimbursed the Association 10% of Executive Director's salary. Form 990, Part VI, Section B, line 11b The Association Audit Committee reviews the Form 990 with management. Each member of the Executive Board will be provided with a copy of the Form 990. Form 990, Part VI, Section B, line 12c Each Director, Principal Officer, and member of a committee with governing board delegated powers shall annually sign a disclosure statement which affirms such person 1) Has received a copy of the conflict of interest policy, 2) Has read and understands the policy, 3) Has agreed to comply with the policy, and 4) Understands that in order for the ACUHO-I to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax exempt purposes. If the governing board of committee has a reasonable cause to believe a member has failed to disclose actual or possible conflicts of interest, it shall inform the member of the basis for such belief and afford the member the opportunity to explain the alleged failure to disclose. If after hearing the member's response and after making further investigation as warranted by the circumstances, the governing board or committee determines the member has failed to disclose an actual or possible conflict of interest, it shall take the appropriate disciplinary and corrective action. Form 990, Part VI, Section B, line 15a The President of the Organization will conduct an annual performance appraisal of the Executive Director. The evaluation is to be conducted one on one and a written document is to be provided in addition to an appraisal evaluation utilized by the President. The Executive Director will complete a self-evaluation and the President will enlist the feedback of the Foundation President, Presidential Cycle, and Executive Board. Proposed goals must be set by the Executive Director and outgoing President, and reviewed and finalized by the Executive Director and the incoming President. Once conducted, the final evaluation is signed and copies are sent to the incoming President and President Elect. The review report should include compensation recommendations for the coming year, and include a bonus and/or market equity adjustment with justification. The compensation recommendations should be aligned with like industry" association benchmarks. The information from the American Society of Association Executive is used as the benchmarking tools for determining the Executive Director's compensation. The compensation recommendations are considered and approved by the Finance Committee.
