The Foundation actively works to implement the Washington Coast Sustainable Salmon Plan by coordinating local watershed groups in the strategic development and prioritization of habitat restoration projects which are then proposed for funding through eligible funding sources. On average every year, $1.5 million in on-the-ground habitat restoration and protection projects in the region are implemented through the state's Salmon Recovery Funding Board. In addition to this, the Foundation plays a pivotal role in the continued development of the Washington Coast Restoration Initiative, which has brought over $11 million in additional project funds to the coast with another $12.5 million in project funding proposed for the coming 2017-2019 biennium. This effort has involved a broad coalition of local, state, and non-profit organization representatives who work together to provide support to and to implement habitat protection and restoration as well as job creation projects throughout the Coast Region. The Foundation continually pursues additional funding opportunities in our efforts to continue the implementation of the Sustainable Salmon Plan. These regional collaborative efforts require the oversight, consensus-building and management of a single entity to provide an unbiased regional perspective to habitat restoration and protection implementation to strategically approach sustainable salmon populations throughout the Washington Coast Region and to leverage the resources required to accomplish this task. 20270 OUTREACH: During the reporting year, the Foundation completed a comprehensive communications and outreach strategy. Outreach and communication are essential for the implementation of the Washington Coast Sustainable Salmon Plan. While the development and prioritization of habitat protection and restoration projects are made by local watershed groups, land use decisions are made at the county or state level, and funding decisions are typically made by groups far removed from the impacted watersheds. The Foundation, as guided by our communications and outreach strategy, works to provide outreach and communication to ensure that funding, land use, and restoration decisions are compatible with the long-term sustainability of coast salmon populations. In addition to decision makers, the Foundation supports targeted educational programs for youth, the future decision makers in the region. 12268 LAKE OZETTE SOCKEYE: The Washington Coast Region is the only region within Washington State that is not dominated by the presence of salmon species listed under the Endangered Species Act (ESA) as threatened or endangered. However, the Lake Ozette Sockeye is listed as threatened per the ESA. The Foundation, in collaboration with the National Oceanic and Atmospheric Administration (NOAA), coordinates the Lake Ozette Sockeye Steering Committee (LOSSC). LOSSC is a local watershed group that works to implement the Lake Ozette Sockeye Recovery Plan that was developed in 2006. The Foundation provides half of the funding required for LOSSC facilitation and Foundation staff participate in all LOSSC meetings. The Program Administrator provides an electronic copy to the Executive Director who reviews it and provides final approval of the 990 for filing. Prior to filing, the Form 990 is distributed by email to each member of the Board of Directors for informational purposes. Form 990, Part VI, Line 12c: Explanation of Monitoring and Enforcement of Conflicts It is the responsibility of each member of the Board of Directors to disclose the existence of a conflict of interest or a potential conflict of interest as defined by the Foundation's Conflict of Interest Policy. Staff tracks these disclosures, notifies the Director about a potential conflict, and alerts the Board Chair and Vice Chair should a proposed transaction present a potential conflict. Any directors with a conflict of interest refrain from participating in discussion or voting on proposed transactions. The Chair may, at the Chair's discretion, ask the Director to withdraw from the meeting if the Director does not do so voluntarily. Form 990, Part VI, Line 15a: Compensation Review & Approval Process - CEO, Top Management The Foundation Board of Directors met in executive session at their December 16, 2013 meeting to decide the salary for the Foundation's Executive Director (ED). They reviewed a chart of the current salaries and job responsibilities of the other six directors of salmon recovery regions in the state, upon which they based their decision. In addition, three of the at-the-time four board members had retired from closely aligned executive positions at the state or county levels, which gave them substantial background information and knowledge about similar positions responsibilities, salary levels and benefits. Discussions were also held with state officials managing Washington's salmon recovery funding, as well as board members from other salmon regions. After deliberation, the Foundation Board determined a salary and benefits package for the Executive Director effective 12-9-13 until changed by future board action. When the original ED submitted his resignation in August 2015, the Foundation Board requested from staff development of a range of salary and benefit packages within the budget that could be offered to a candidate during the hiring process. Based on the existing programmatic budget, the Foundation Board could not offer a hiring package greater than the one determined at their December 2013 analysis. They also recognized that it would be preferable to hire a new ED at a slightly decreased salary than what had been in place since December 2013 as the retiring ED had been working less than full time during his tenure. Following an extensive hiring process, the Foundation Board offered the top candidate a full time position of Executive Director with a hiring package that aligned with the organizational budget.
