For those employees for whom the Organizations Board of Trustees has determined that the Organization should continue to provide a split-dollar employee benefit, the Organization will utilize an endorsement split-dollar employee benefit arrangement.The Organizations advisors have advised the Organization that it is unclear whether a supporting organization may continue to use a collateral assignment split-dollar employee benefit arrangement for its employees who are disqualified individuals without the arrangement being considered by the IRS to be an excess benefit transaction. The Treasury Regulations provide that a collateral assignment split-dollar arrangement is an arrangement in which the Organization is deemed to have made a loan to the employee whose life is insured in connection with the arrangement in an amount equal to the life insurance premiums advanced by the Organization to the insurer. However, it is uncertain whether such a deemed loan is also treated as a loan for purposes of Section 4958(c)(3)(A)(i) of the Code. If the deemed loan is treated by the IRS as a true loan, then Code Section 4958(c)(3)(A)(i) could possibly classify the deemed loan as constituting an excess benefit transaction. The IRS has not provided any specific guidance concerning whether a deemed loan in connection with a collateral assignment split-dollar employee benefit arrangement utilized by a supporting organization would give rise to an excess benefit transaction. However, the IRS recently revised the instructions to Schedule L of Form 990 to require disclosure of payments made pursuant to a split-dollar life insurance arrangement that are treated as loans under Regulations section 1.7872-15 and the instructions refer to such payments and other loans and advances as loans. In light of the lack of specific definitive guidance and the breadth of these instructions, the Organization has elected to discontinue the use of collateral assignment split-dollar arrangements with its employees who the Organization considers to be disqualified individuals. The return then undergoes several levels of review including the CFO and CEO. Further, the board reviews the 990 during one of its recurring monthly meetings where any issues of concern or question are addressed by Senior Management. Form 990, Part VI, Line 12c: Explanation of Monitoring and Enforcement of Conflicts All board members sign a conflict of interest policy annually and upon appointment to the board. All employees that are managers, including officers, have purchasing rights with defined limits, or may enter into a contract on behalf of the organization are required to sign a conflict of interest attestation upon employment and annually. All employees can report breaches in Valley Health System policy. Valley Health System has an employee integrity hotline and a compliance officer. The audit committee is advised of compliance activity on a quarterly basis in addition to monthly follow up by the CEO on any immediate issues. Any infractions can result in disciplinary action or dismissal.Any officer or employee that discloses a conflict of interest will leave a board meeting on a transaction or arrangement that would be related to the potential conflict. With conflicts of interest the chair of the board will appoint a person or committee (if appropriate) to investigate alternatives to the proposed arrangement.
