There is a contract between Visit Florida and FRLA. The FRLA contract is funded by a direct appropriation of $488,484 to Visit Florida from Florida's Hotel and Restaurant Trust Fund. The program requires a private match which is administered jointly by Visit Florida and FRLA. $142,500 of the payments are related to a sponsorship agreement the organization has with FRLA for several of their programs throughout the year. $131,250 of the payments were related to an agreement to support the creation of the Power of One training module. Part VI: Government, Management, and Disclosure SECTION A Line 4 Visit Florida amended their by-laws establishing a 2nd vice-chair as part of their Executive Committee. This change was effective June 29, 2015. LINE 4D Weblisting Affiliate platform for tourism-related businesses. As of June 30, 2015, Visit Florida had 9,311 weblisting affiliates and 2,535 fully engaged partners for a total of 11,846 tourism businesses being served by Visit FL. LINE 7A The board of directors is composed of 32 tourism-related members appointed by Enterprise Florida, Inc. in conjunction with the State of Florida Department of Economic Opportunity. Line 7b Visit Florida (VF) was created by and operates in accordance with Florida Statue 288.1226. VF provides reports to Enterprise Florida, Inc. (EFI). The office of EFI annualy certifies whether VF is operating in a manner consistent with the policies. Section B, Line 11A LINE 11A After review by the Accounting Manager and CFO of the Form 990 (as prepared by an independent CPA), a copy of the 990 is given to the audit committee for review prior to being filed with the Internal Revenue Service Center. LINE 12C VISIT FLORIDA (VF), as part of its corporate Code of Ethics and Standards of Conduct Policy (Part 3), has a Conflict of Interest Statement. "A director or officer of the Corporation is prohibited from voting on any matter that the director knows would inure to his or her special private gain or loss. A director who abstains from voting in an official capacity upon a measure that the director knows would inure to the director's special private gain or loss, or who votes in an official capacity on a measure that he or she knows would inure to the special private gain or loss of any principal, parent organization, or subsidiary of a corporate principal by whom the director is retained, or which the officer knows would inure to the special private gain or loss of a relative or business associate of the director, must make every reasonable effort to disclose the nature of his or her interest as a public record in a memorandum filed with the person responsible for recording the minutes of the meeting, who must incorporate the memorandum into the minutes. If the memorandum cannot be filed before the vote, the memorandum must be filed no later than 15 days after the vote." As part of the policy and procedure for purchasing of goods and services and related contract management, "It is also the policy of VISIT FLORIDA to conduct all transactions at arms-length. An arms-length transaction is when both buyer and seller are free agents, there is no conflict of interest and both parties willingly agree to the price. This ensures VISIT FLORIDA always receives a fair value for the monies expended and all vendors are considered fairly and equitably. This policy is reinforced by the good business practice and other purchasing standards identified throughout this document." VF regularly and consistently monitors and enforces compliance with this policy. Upon selection of new board members, VF executives ensure that none have any conflict of interest. Members of the Board of Directors must annual affirm the Code of Ethics and Standards of Conduct Policy via electronic signature each year. The document then remains on file with VF. As an on-going procedure, when a vendor is selected for a contract, VF ensures that there is no conflict of interest with the vendor. All personnel, board members and vendors are covered under this policy. Line 15 Compensation for the CEO is recommended by the Executive Committee of the Board of Directors and is forwarded to the Board for approval. The committee writes the contract for the CEO and determines the compensation package. Every year, the package is reviewed to determine if an increase is to be given to the CEO as well as to evaluate the CEO's performance for the past year to decide if he has earned any or all of his incentive pay. Compensation for all other employees including the Chief Financial Officer, Chief Marketing Officer and other key employees is determined by a salary survey that is conducted by an independent contractor every THREE years and is updated by the independent contractor annually for Florida industry average increases within each position's salary range. In addition, all employees receive an annual performance review. Salary increases are determined by the performance review and where the employee falls in their position's salary range. Increases to salaries were last given in August 2014. The last salary survey was conducted in 2014. Section C, line 19 VISIT FLORIDA's governing documents, conflict of interest policy, and financial statements for the three most recent years are made available to the public upon request. The financial statements are provided to the finance committee and board at the board meetings. The financials are discussed in detail at the finance committee meeting and in summary during the board meeting, which are both open to the public.
