Policies Process used to review form 990 Form 990, part VI, Section B, Line 11 The Audit Committee of the Manhattanville College Board of Trustees has a responsibility, as defined by its charter, to review the college's annual Form 990, and present it to the Full Board of Trustees before the college submits it to the Internal Revenue Service. The audit committee of the Manhattanville College Board of Trustees is comprised of trustees. The trustees of the committee each have broad financial knowledge of the institution's operations. The Audit Committee reviewed the 2013 Form 990 at its meeting on February 9, 2015. The committee then provided the return to the full board for review during its meeting on February 12, 2015. Enforcement and monitoring of conflict of interest policy Form 990, Part VI, Section B, Line 12c Officers, trustees and key employees are annually required to complete an acknowledgement and disclosure statement. This statement requires the individual's signature verifying compliance with the procedures contained in the conflicts of interest and disclosure policy. The policy is included in the Manhattanville college board of trustees handbook which is provided to each trustee upon joining the board. The signed statements are reviewed by the Board Secretary. If any conflicts are noticed, the board chairman has responsibility for rectifying the conflict with the trustee, officer or key employee. Process for Determining compensation Form 990, Part VI, Section B, Line 15 Compensation for the officers and key employees is determined by Manhattanville board of trustees' executive committee which acts as the compensation committee. No individuals with a conflict of interest may be involved in the compensation determination process. Comparability data for similarly qualified persons in functionally comparable positions at similarly situated organizations is prepared by the organization and reviewed by the board of trustees' executive committee.
