WAAIME Section Activity: The Women's Auxiliary to the American Institute for Mining, Metallurgical, and Petroleum Engineers, Inc. (a nonprofit corporation) ("WAAIME") previously merged into Society for Mining, Metallurgy, and Exploration, Inc. (a nonprofit corporation) ("SME"). SME was the surviving entity. WAAIME became a division of SME and its pre-merger members and sections became members and sections of the WAAIME division of SME. Following protracted correspondence with the Internal Revenue Service and consultation with its legal counsel, SME determined that, based on the merger documents and SME's structure with respect to its other sections, the WAAIME section information could properly be included on SME's Form 990. This decision was finalized late in the process of the preparation of SME's 2013 Form 990 (for the tax year ended September 30, 2014). However, SME did not have the information necessary to accurately report such activity on its Form 990. SME is in the process of collecting such information and will file an amended 2013 Form 990 upon its receipt of such information. Form 990, Part VI, Section B, line 11 Form 990 is prepared by an independent CPA firm and is reviewed by the organization's Director of Finance and Accounting Manager. The 990 is then reviewed by the organization's board of directors prior to being filed with the IRS. Form 990, Part VI, Section B, line 12c Board members receive a copy of the organizations a conflict of interest policy as part of their board introduction packet, and disclose potential conflicts of interest upon joining the board.
