Form 990, Part VI, Section A, line 7a Article IV of the MYSA bylaws provide that the board of directors shall be elected by a majority vote of the voting members present at the annual meeting of MVSA. Form 990, Part VI, Section B, line 11b The MYSA form 990 is prepared by a CPA and a draft of the 990 is provided to the MYSA treasurer for review and approval. Form 990, Part VI, Section B, line 12c MYSA has a policy that requires all directors and key personnel to review, complete and file on an annual basis a code of conduct and ethical standards, which includes conflict of interest provisions. Any potential conflicts are reviewed by the non-disqualified members of the executive committee of the board and acted upon as deemed appropriate under the circumstances. The board secretary reports to the board no less than annually on these activities of the executive committee and the filing of these code of conduct and ethical standard statements.
