Articles(i) change the Corporation's name from "Friends of Marquez, a Nonprofit Corporation" to "Friends of Marquez";(ii) clarify in the purpose statement that Corporation's funds will be raised and used to support the curriculum of Marquez Charter Elementary School (the "School");(iii) for ease of the administration of the Corporation, change the Corporation's statutory members to honorary members by removing all references to the members in the Articles;(iv) remove the provisions regarding the directors and committees to include them in the Bylaws instead;(v) fix internal inconsistencies in the Articles; and(vi) make substantive changes in accordance with the current California Nonprofit Public Benefit Corporation Law (the "Law").B. Bylaws(i) conform to the changes in the amended and restated Articles;(ii) limit membership to donors who are the parents and/or guardians of students enrolled at the School and allow one membership per family;(iii) change the member meetings, meeting notice and nomination requirements to make them more practicable for the Corporation;(iv) allow written ballots for a vote by the members but only at the discretion of the Board and in the form prescribed by the Board;(v) have the officers elected by the members (in addition to the directors);(vi) limit director and officer candidates to members;(vii) remove director term limits;(viii) make the indemnification of directors and officers mandatory and the indemnification of agents and employees discretionary;(ix) allow a majority of the directors in office to remove a director at their discretion if the director fails to attend three consecutive Board meetings without an acceptable excuse; and(x) make substantive changes to the Bylaws to make them consistent with the Law.
