Part III, Line 3 Visit Florida ceased in conducting the program services related to the Deepwater Horizon oil spill as all of the funds allocated to Visit Florida for this program were spent by the end of fiscal year 2010-2011. PART VI: Governance, Management, Disclosure SECTION A, Line 4 Visit Florida made the following changes to the bylaws: Article II - Purpose Article III - Powers and Duties Article IV - Board of Directors Article V - Members Article VI - Councils and Committees Article VII - Officers a. Editorial references necessitated by the 2011 & 2012 legislation affecting Visit Florida's enabling statute; b. Changes necessitated by the shift in governance of Visit Florida by an appointed Board of Director's; c. Updates to the Bylaws to more accurately reflect actual practices affecting Visit Florida governance and management; d. Changes to enhance quality industry participation; e. Deletions of dated or unnecessary verbiage and f. Additions as reflective of standard or appropriate provisions for not for profit organizations Bylaws. LINE 7A The board of directors is composed of 31 tourism-related members appointed by Enterprise Florida, Inc. in conjunction with the State of Florida Department of Economic Opportunity. Line 7b Visit Florida (VF) was created by and operates in accordance with Florida Statue 288.1226. VF provides reports to Enterprise Florida, Inc. (EFI). The office of EFI annualy certifies whether VF is operating in a manner consistent with the policies. Section B, Line 11A After review by the Controller and CFO of the Form 990 (as prepared by an independent CPA), a copy of the 990 is given to the audit committee for review prior to being filed with the Internal Revenue Service Center. LINE 12C VISIT FLORIDA (VF), as part of its corporate by-laws (Article XIV), has a conflict of interest statement. "It is the duty of every member of the Board of Directors and Committee member who is in any way, directly or indirectly, interested in a contract or proposed contract with the Corporation to disclose the nature and extent of such interest and to refrain from voting in respect to the contract or proposed contract." The Conflict of Interest statement is in every VF committee and board book and is noted at the beginning of every committee and board meeting. In addition, it is located on our .org site. As part of the Policy and Procedure for Purchasing of Goods and Services and Related Contract Management, "It is also the policy of VISIT FLORIDA to conduct all transactions at arms length. An arms length transaction is when both buyer and seller are free agents, there is no conflict of interest and both parties willingly agree to the price. This ensures VISIT FLORIDA always receives a fair value for the monies expended and all vendors are considered fairly and equitably. This policy is reinforced by the good business practice and other purchasing standards as identified throughout this document." VF regularly and consistently monitors and enforces compliance with this policy. Upon selection of new board members, VF executives ensure that none have any conflict of interest. As an on-going procedure, when a vendor is selected for a contract, VF ensures that there is no conflict of interest with the vendor. All personnel, board members and vendors are covered under this policy. Line 15 Compensation for the CEO is recommended by the Executive Committee of the Board of Directors and is forwarded to the Board for approval. The committee writes the contract for the CEO and determines the compensation package. Every year, the package is reviewed to determine if an increase is to be given to the CEO as well as to evaluate the CEO's performance for the past year to decide if he has earned any or all of his incentive pay. Compensation for all other employees including the Chief Financial Officer, Chief Marketing Officer and other key employees is determined by a salary survey that is conducted by an independent contractor every THREE years and is updated by the independent contractor annually for Florida industry average increases within each position's salary range. In addition, all employees receive an annual performance review. Salary increases are determined by the performance review and where the employee falls in their position's salary range. Increases to salaries were last given in August 2012. The last salary survey was conducted in 2010. Section C, line 19 VISIT FLORIDA's governing documents, conflict of interest policy and financial statements are made available to the public upon request. In addition, the conflict of interest statement is in every VF committee and board book, is noted at the beginning of every committee and board meeting, and is located on our .org web site. The financial statements are provided to the finance committee and board at the board meetings. The financials are discussed in detail at the finance committee meeting and in summary during the board meeting, which are both open to the public.
