Form 990, Part VI, Section A, line 2 Mary McWilliams and Tom Hunt have a business relationship. Form 990, Part VI, Section B, line 11 A copy of the Form 990 will be provided first to the executive committee of the Board of Dirctors for review and approval prior to filing. The CPA who is responsible for the filing will be present during the review which will occur at a regularly scheduled meeting. The executive committee is authorized to review and approve financial and human resources matters on behalf of the board, and the board approves all minutes of the executive committee within 30 days of each meeting. Once the executive committee has reviewed and approved the Form 990, it will then be provided to the full board prior to filing with the IRS. Form 990, Part VI, Section B, line 12c In March-April of each calendar year, all board members and key employees are required to complete disclosure statements and to review conflict of interest policy. This information is summarized and reviewed with the chair of the board of directors, who is authorized to act on behalf of the board should a potential conflict be identified. Additionally, should key employees and new board members be hired or seated after this annual exercise, they are requested to complete a disclosure statement and to review the associated policy as part of their orientation. Again, this information is shared with the chair of the board of directors. If a real or perceived conflict of interest occurs, the conflicted person recuses themself from voting on the matter. Form 990, Part VI, Section B, line 15a The executive committee of the board of directors annually approves salary increase parameters for all Puget Sound Health Alliance staff, including but not limited to directors, who are the other key management officials. The executive director's salary is determined by the board of directors. The process includes written minutes of the deliberation and decision. The board is fortunate to have several human resource executives with specific knowledge of compensation who work together to compare established salaries within the organizaton to comparable posititions within the marketplace. Form 990, Part VI, Section C, line 19 Most of our key documents, including policy statements and minutes from key meetings, are available on the Puget Sound Health Alliance website. Additionally, the website directs people with questions to contact management staff and staff support for the board of directors. One of the guiding principles of the Puget Sound Health Alliance is transparency to improve the delivery of healthcare, and we strive to translate this same transparency into our business operations. Explanation for correction of participant contribution accounting Form 990, Part X, Line 28 - Temporarily restricted net assets In 2011, the Alliance corrected its accounting for participant contributions to be more consistent with its revenue recognition policy. As a result, additional contributions were recorded as revenue in 2011 and all temporarily restricted net assets were released.
