Part I, Line 4b The President/CEO, Stevan Trooboff, participated in a supplemental non-qualified retirement plan as described in the Internal Revenue Code Section 457(f). Form 990, Part VI, Section A, line 6 The sole member of the Corporation is CIEE, Inc., a Delaware corporation. Form 990, Part VI, Section A, line 7a Members of the Board of Directors of CIEE are elected by the Membership. Every member of CIEE has a voting representative. The Board nominates people to the Board and the Membership elects them via vote of the voting representatives. Form 990, Part VI, Section B, line 11 The 990 Form is prepared by an independent public accounting firm from published materials of the Organization provided by management. All material contained in the 990 is covered by the Employee Handbook; Goal Setting and Performance Management system; compensation management system and budgeting and reporting processes. All of these materials are reviewed on a regular basis with the Board of Directors. A copy of the Form 990 is shared with both the Audit and Finance Committee of the Board and all members of the Board on an annual basis. Currently, a draft of the 990 is reviewed with the Board Audit and Finance Committee prior to filing. Form 990, Part VI, Section B, line 12c Every member of the Board of Directors is required to sign and date, on an annual basis, a Conflict of Interest Statement which discloses any potential conflicts of interest. As of this writing, no such conflicts exist. Every officer of the Organization is a full time employee and subject to a conflict of interest policy, a gifts and gratuities policy and a nepotism policy which are part of the Organization's Employee Handbook. Vendor contracts are reviewed by at least two levels of management to assure that no conflicts of interest exist. Form 990, Part VI, Section B, line 15 The Organization has commissioned a compensation study every five years regarding compensation paid to the CEO and President who is the senior full time officer of the Organization. This study is comprehensive in nature and includes comparative data and substantiation of compensation. There is also an annual goal setting and performance appraisal process for this officer whose compensation is annually reviewed and set by the Executive Committee of the Board of Directors. All employees of the Organization are subject to an annual goal setting and performance appraisal process. Compensation levels are based on competitive analysis of jobs, and salaries of top officers have been regularly disclosed as part of the Form 990 process and discussed at Board meetings as part of the annual budget approval process. Form 990, Part VI, Section C, line 19 The form 990 has been a publicly available document for many years and is available on line, without cost, to anyone. In addition, the company's Employee Handbook including conflict of interest policy, gifts and gratuities and nepotism policy are all publicly available. All these documents are reviewed periodically by legal counsel to assure compliance with all policies and procedures of local and national authorities. Financial statements are regularly provided to banking and other partners and on request to interested individuals. No such request has ever been denied. Summary financial information is available on the Form 990 and a matter of public record. All Board members receive a copy of the financials and there is a regular review of both auditors and results of an annual audit (prepared by Certified Public Accountants) by the Board Audit and Finance Committee. The full Board votes annually regarding audit acceptance. Changes in Net Assets or Fund Balances: Form 990, Part XI, line 5: Net unrealized gains on investments: 1,302,024.
