For 2010 the credit union had approximately 14500 members. F990_P06_S0A_L07a Form 990, Part VI, Section A, Line 7a Each member of the Board of Directors serves a term of three years. Board members are elected at the annual meeting of the credit union which is held in March of each year. F990_P06_S0A_L07b Form 990, Part VI, Section A, Line 7b Any individual from within the membership of the credit union may nominate or be nominated as a board member. At the annual meeting of the credit union such members so nominated must be approved by a majority vote of the membership present at the annual meetings. During the annual meetings any other business that may arise from the members present can to presented to the Board for consideration. Members have the right at any time to attend monthly board meetings to bring business to the attention of the board for consideration. F990_P06_S0B_L11a Form 990, Part VI, Section B, Line 11a The CEO of the credit union presents a copy of Form 990 to the Board of Directors or at a minimum to the Board Chair in the event the entire Board is not available to review the return prior to the filing of the return. At the first Board meeting held subsequent to the filing of the Form 990 the return is presented to the entire Board for review in those instances in which the review could not be conducted prior to filing the return. F990_P06_S0B_L12c Form 990, Part VI, Section B, Line 12c Officers and Directors of the credit union are required annually to disclose that the Officers and Directors are not engaged in any relationshiops that would constitute a conflict of interest with the business affairs of the credit union. Forms to this affect are signed by each Officer and Director and are maintained by the AVP of Human Resources. If a conflict of interest should ever arise it must be brought to the attention of th CEO and Board of Directors. The Security Officer of the Credit Union monitors potential conflicts on an ongoing basis. Federal and State Examiners review loan and investment activities of Officers and Directors during regularly scheduled examinations. F990_P06_S0B_L15 Form 990, Part VI, Section B, Line 15 The Board of Directors evaluates the performance and salary of the President & CEO annually. The Board assesses the performance against targets established in previous years to determine the extent to which such goals are met. New goals are established for subsequent years. For other employees the credit unions utilizes the services of an employment specialist to determine pay ranges for each job position. Annual performance reviews are conducted by supervisors of each employee to determine the extent to which goals have been met.
