FSP FIN 48-3 permits an entity within its scope to defer the effective date of FASB Interpretation 48, Accounting for Uncertainty in Income Taxes (FASB Accounting Standards Codification (ASC) 740, Income Taxes), to its annual financial statements for fiscal years beginning after December 15, 2008. The Foundation elected to defer the application of the uncertain tax provisions of ASC 740 for the year ending August 31, 2009. On September 1, 2009, the Foundation adopted the provisions ofASC 740, as amended by FASB in September 2009. The Foundation evaluates its uncertain tax positions using the provisions of ASC 450, Contingencies. Accordingly, a loss contingency is recognized when it is probable that a liability has been incurred as of the date of the financial statements and the amount of the loss can be reasonably estimated. The amount recognized is subject to estimate and management judgment with respect to the likely outcome of each uncertain tax provision or for all uncertain tax positions in the aggregate could differ from the amount recognized. Interest and penalties associated with uncertain tax positions are recognized as components of federal income tax expense. As noted above, the Foundation is a tax-exempt non-profit organization; therefore, no provision or liability for federal income taxes has been included in the financial statements. The Foundation believes that its tax position regarding its status as a tax-exempt organization will remain significantly unchanged within the next twelve months. While the Foundation is not aware of any tax examinations being conducted, tax years 2006 - 2008 remain subject to examination by the United States Internal Revenue Service. The Audit Committee reviews the form and discusses it with the CPAs responsible for preparing the return. Any change in circumstances that alters the information on a form that was previously submitted must be reported in a timely fashion. The compensation arrangement must be approved in advance (before any payment is made) by the Executive Committee composed entirely of individuals who do not have a conflict of interest with respect to the compensation arrangements being reviewed. Determinations utilize comparability data for the fair market value of the compensation in question, such as data documenting compensation levels for similarly qualified individuals in like positions at like organizations.
