Part IV, Section A, Line 3c ERIS does not transfer any money or property to ECOS. Instead, ERIS spends funds directly to accomplish the educational and charitable purposes of ECOS. All members of ERIS's board of directors are aware of the organization's obligation to spend funds only for these purposes. They review and approve ERIS's activities pursuant to that standard and report them to ECOS. Once their questions and concerns are addressed, a copy is sent to the full board of the organization. The 990 is then signed and submitted to the IRS. Form 990, Part VI, Section B, line 12c Annually, the Board reaffirms the Conflict of Interest Policy. If a perceived or actual conflict arises, it is to be reported to the officers. The officers then determine if a conflict exists. If one does exist, the interested person may not participate in any vote for which the conflict exists. If conflict of interest is disclosed or discovered after an action has been taken, the officers will then determine whether to reject the transaction or take other action. If an officer is the interested person, they are not allowed to be involved in these decisions. Form 990, Part VI, Section B, line 15 Costs incurred for salaries and benefits are allocated to ERIS from ECOS (Environmental Council of States, Inc.), a related organization. To determine the compensation for the Executive Director, the officers of the ECOS Board (President, VP, Secretary-Treasurer, and Past President) are provided information from salary surveys of nonprofits and compensation information of similar associations from 990's. Annually, they review the Executive Director's performance and set a rate of compensation. The compensation for the Deputy Executive Director is set by the Executive Director with consultation from the officers of the ECOS Board. The official financial statements of ECOS and ERIS are audited in a combined manner and made available to the public as an electronic file upon request. If approved, travel expenses for US state and local officials are reimbursed for their participation in the events and include pre-approved airfare, hotel, meals and ground transportation while participating in these events in accordance with ITRC Travel Policies. Government officials do not receive an honorarium or other compensation for attendance. Required financial disclosures are made promptly in accordance with regulation. ERIS does not pay or reimburse travel expenses for federal officials. Form 990, Part IX ERIS, a supporting organization to ECOS, does not have its own employees. Compensation, fringe benefits and other indirect costs reported on Part IX (Statement of Functional Expenses) represents expenses in which ERIS reimburses ECOS during FY 25.
