Uses of Endowment Funds The intended uses for the Endowment Funds are for humanitarian, educational, cultural and religious needs in the local community, nationally and throughout the world. Collections of Art COLLECTIONS OF ART INCLUDE MEMORIAL SCULPTURES IN REMEMBRANCE OF THE VICTIMS AND SURVIVORS OF THE HOLOCAUST, ACTING AS A SOLemn SYMBOL OF THE GENOCIDE. ASC 740 FOOTNOTE The Foundation is exempt from federal income taxes under Section 501(c)(3) of the Internal Revenue Code. Accordingly, no provision for federal income taxes has been recorded in the statements of activities and changes in net assets. Management has determined that there are no uncertain tax positions at the Foundation at June 30, 2025 or 2024. There are no open tax years prior to June 2010. In addition, the Foundation did not have any income tax related penalties or interest for the periods reported in the financial statements. CUSTODIAL ARRANGEMENTS CUSTODIAL ARRANGEMENTS represent funds provided to the Foundation by BOTH RELATED BENEFICIARY AGENCIES AND unrelated, non-beneficiary agencies to be invested. The investment earnings allocable to these funds are recorded as a liability. These funds are invested in the various pools offered by the Foundation based on instructions received from the investors pursuant to written agreements. Certain investment pools allow the investors to withdraw funds with relatively short notice (on demand) while other investment pools place significant restrictions on an investors ability to withdraw funds (over several years). Reconciliation of expenses to audited statements Expenses of $11,973,252 of the supporting organizations are included in the consolidated audited financial statements. Schedule J, Part I, Line 4 The Executive VP/CEO participates in a deferred compensation plan with the related organization which includes unvested benefits in an internal revenue code section 457(f) plan (non-qualified deferred compensation plan) which is subject to a substantial risk of complete forfeiture. Accordingly, the individual may never actually receive this unvested benefit amount. Therefore this amount was not included in the individuals 2024 form W-2, Box 5, as taxable Medicare wages from the related organization. The compensation review is done on at least an annual basis and ensures that the 'total compensation" of senior management of the organization is reasonable. The actions taken by the committee enable the organization to receive the rebuttable presumption of reasonableness for the purposes of internal revenue code section 4958 with respect to the total compensation of certain members of the senior management team. The three factors which much be satisfied in order to receive the rebuttable presumption of reasonableness are the following: 1. The compensation agreement is approved in advance by an "authorized body" of the applicable tax-exempt organization which is composed entirely of individuals who do not have a "conflict of interest" with respect to the compensation agreement. 2. The authorized body obtained and relied upon "appropriate date as to comparability" prior to making its determination; and 3. The authorized body "adequately documented the basis for its determination" concurrently with making that determination that the members of the board of trustees each are independent and are free from any conflicts of interest. The committee adequately documented the basis for its determination through the timely preparation of written minutes of the meetings during which the executive compensation and benefits were reviewed and subsequently approved.
