DescFounded in 1891, Seattle University is a Jesuit Catholic university located on a beautiful campus of more than 50 acres in the dynamic heart of Seattle. Our diverse and inclusive campus is comprised of more than 7,200 students enrolled in undergraduate and graduate programs within eight schools and colleges. In the 2020-21 academic year, Seattle U awarded 1,307 bachelor's degrees or equivalents, 169 post-baccalaureate certificates, 581 master's degrees, 11 post-master's certificates, and 287 doctoral degrees. Awards and high rankings for academic rigor, sustainability, community service and social justice are among the university's touchstones of excellence. Seattle U ranks among the top national universities for its academics, student-centered teaching, service learning and leadership in sustainability. It ranked in the Top 16 percent of universities nationally-and #23 in the West-in the Wall Street Journal/Times Higher Education College Ranking 2021. The Princeton Review continues to recognize the university as one of the best colleges in the nation for undergraduate education, according to its Best 387 Colleges 2022. The latest edition of the guide marks the 19th consecutive year that Seattle U has been featured. Several Seattle U academic programs were ranked in the Top 50 in the U.S. News & World Report 2022 "Best Colleges." Three programs in the Albers School of Business and Economics were among the highest ranked in the nation: Business Analytics (#17), Finance (#22) and Accounting (#38). Undergraduate engineering ranked #29 among non-doctorate schools. Undergraduate teaching ranked #48. Overall, at #127, Seattle U was ranked in the top one third of all national universities. Graduate programs in business and law continue to be among the best nationwide, according to U.S. News & World Report's "Best Graduate Schools 2020" ranking. The Executive MBA program is ranked #17 in the nation and is the top-ranked EMBA program in the Northwest and fourth highest on the West Coast. The accounting program is ranked #24 in the nation and #2 in the Northwest. The finance program is ranked #28 in the nation and #2 in the Northwest. Legal writing is ranked #3 in the U.S. and consistently is a Top 5-ranked legal specialty. The clinical training program is ranked #20 nationally and is top among Northwest law schools. The part-time law school program is ranked #27 nationally and #2 in the Northwest and on the West Coast. College Factual's 2022 rankings place Seattle U in the Top 5 of all Washington schools and in the Top 15 percent nationally. Among Seattle U's academic programs, College Factual ranked many in the top 15% or better nationally, including: Undergraduate programs in public administration, nursing, social work, marketing, computer and information sciences, accounting, biochemistry and business administration. Graduate programs in education, special education, criminal justice, clinical counseling and business management and marketing. The university is again featured in the Fiske Guide to Colleges. The selective guide highlights the "best and most interesting schools" in the U.S.: "Jesuit tradition guarantees a nurturing environment and student growth both academically and in community service." Seattle U is recognized by the 2021-22 Colleges of Distinction for its commitment to engaged, experiential education. Colleges of Distinction universities distinguish themselves through their dedicated focus on the undergraduate experience. Seattle U has excelled at having students graduate and enter the workforce with solid, well-developed critical thinking skills as well as the ability to adapt in an ever-changing society. Seattle U also received specialized recognition for its Business, Education, Engineering, Nursing academic programs and for its work in career development, equity and inclusion and support for veterans. The national honor society Phi Theta Kappa has recognized Seattle U among four-year institutions for its work to attract and support community college transfer students. Seattle U was the only university in the Pacific Northwest and one of only two on the West Coast to be included in the 2018 "Transfer Honor Roll." Victory Media has recognized Seattle U as a Military Friendly(R) School in its 2018-19 listing of colleges and universities nationwide. The designation is reserved for higher education institutions that exhibit leading practices in recruiting and supporting post-military students. SportBusiness International ranks Seattle U's master in sport business leadership program, in the Albers School of Business and Economics, in the Top 40 for the U.S. in 2017. Seattle U students have a strong track record of achieving academic honors, including two Rhodes Scholars, considered the most prestigious academic award in the world. Seattle U was among master's institutions to produce the most 2016-17 U.S. Fulbright students, with five students who were awarded the prestigious honor. Seattle U tied for sixth place with three other schools in the master's institutions category. This is the fifth year in a row, and eighth time, Seattle U has ranked as a "Top Producer" of either student or faculty Fulbright awardees. Seattle U has produced four Udall Scholars. Named for Stewart and Morris Udall, both known for their vast public service, Udall Scholars focus on environmental and Native American issues. Eight students in as many years received the Harry S. Truman Scholarship, the most prestigious academic award for undergraduates preparing for careers in public service. The university is among the most elite schools in the country for the number of Truman Scholars it produces, a total of 16 to date. Seattle U consistently receives top national plaudits for community service. Seattle U continued its run of strong performances in the institutional Graduation Success Rate (GSR), according to 2019 data released by the NCAA. As a department, Athletics compiled a 94 percent GSR, while seven teams tallied perfect scores in the metric. The university has tallied at least a 93 percent in every report since 2008. 13 Seattle U programs tallied a perfect score of 1,000 for the 2017-18 report-up from nine programs with perfect scores for 2016-17-in the most recent Academic Progress Report (APR), released by the NCAA. Men's cross country, swimming and tennis and women's basketball, golf, softball, soccer, swimming, tennis, track and field and volleyball each recorded perfect marks. Seattle U consistently receives top national honors for community service. The White House bestowed its highest honor on Seattle U in 2012 in recognition of civic engagement, service learning and volunteerism. Seattle U was named to the President's Higher Education Community Service Honor Roll, with distinction, in three of the past six years. A Seattle Times editorial called out the award writing, "Seattle U serves as a national example of the difference higher education can make on its neighbors." Seattle U tied for #5 in the nation in service learning in U.S. News & World Report's "Best Colleges 2020" rankings. Four out of five Seattle U students serve the community-that's more than three times the national average. A major focus of service is the Center for Community Engagement, which connects students, faculty and staff with schools and community partners to improve the academic achievement of low-income youth living in the neighborhood surrounding campus. Seattle U is a national leader in sustainability programs and practices. It was ranked #2 nationally among universities for its sustainability curriculum in the Association for the Advancement of Sustainability in Higher Education (ASHE) 2019 Sustainable Campus Index, and #4 nationally as an overall top performer among master's institutions. Seattle U achieved a Gold rating for sustainability from the AASHE 2019 Sustainability Tracking, Assessment & Rating SystemTM (STARS). Seattle U continued its run of top rankings for sustainability by once again being named a Sierra Cool School for 2021. It placed #14 of 328 colleges and universities-the top 4 percent overall-that participated in the latest survey of sustainability practices. Seattle U is the only university in the Northwest to place in the top group. Seattle U ranked #16 in the Princeton Review's 2021 Green Honor Roll of the top 50 colleges that earned the highest scores by the publication for their sustainability efforts. In 2015, it became a Fair Trade designated university. The campus has been maintained organically and without pesticides or herbicides since 1998. Nearly 69 percent of campus waste is recycled, reused or composted. The onsite composting facility annually turns 178,000 pounds of pre-consumer food waste into compost, which is reused on campus to improve soil quality. In 2010, Seattle U became the first higher education institution in WA to ban the sale and distribution of plastic bottled waterDesc

The President, Provost and any Vice President of Seattle University are ineligible to be a member. Members are elected by Jesuits currently under contract at Seattle University.
Form 990, Part VI, Section A, Line 7aAs a nonprofit member corporation established under Washington state law, the University has a Jesuit Board of Members. The principal duty of the Jesuit Board of Members is to ensure furtherance of the work of Catholic higher education in accordance with the traditions and ideals of the Society of Jesus. The Jesuit Board of Members has the power to select three Jesuit trustees to serve on the Board of Trustees, which is the governing board of the university. The Board of Trustees consists of that number of Trustees determined from time to time by the Board of Trustees, but which number shall not be less than 30 nor more than 40 voting members. At least six of the Trustees shall belong to the Society of Jesus. As stated above, the Jesuit Board of Members selects three of those six Jesuit Trustees. All other Trustees are elected upon nomination of the Trusteeship Committee by a majority of the Trustees in attendance at the annual meeting of the Board, unless a different date is set by the Board of Trustees.
Form 990, Part VI, Section A, Line 7bThe Bylaws of Seattle University provide that the principal duty of the Jesuit Members, consistent with the apostolate of the Jesuit community at the University, is to assure furtherance of the work of Catholic higher education in accordance with the traditions and ideals of the Society of Jesus. The Board of Trustees has the final responsibility for the governance of the University in all matters, with the exception of the following: (a) The majority vote of the Board of Trustees and the approval of at least two-thirds of the votes of the Jesuit Board of Members are required to amend the Articles of Incorporation. The majority vote of each of the Board of Trustees and the Jesuit Board of Members is required to alter, amend, or repeal the Bylaws. The Jesuit Board of Members may delegate its authority to approve amendments of the Bylaws to the Board of Trustees; (b) The majority vote of the Jesuit Board of Members is required for the sale or lease of any corporate properties having a fair market value in excess of fifteen million dollars; (c) The Jesuit Board of Members shall elect three Jesuits to Service on the Board of Trustees; and (d) Approval of the Board of Trustees and at least 2/3rds of the Jesuit Board of Members is required to approve any plan of dissolution and distribution, as provided in the Articles of Incorporation.
Form 990, Part VI, Section B, Line 11bEach voting member of the Board of Trustees was provided with an electronic copy of Form 990 and supporting schedules prior to filing with the IRS. The Audit Committee of the Board met to review the form and schedules as well. The form and schedules were also reviewed by appropriate officers and management, including but not limited to the CFO/VP for Finance and Business Affairs and University Counsel.
Form 990, Part VI, Section B, Line 12cThe Conflict of Interest Policy for Trustees is contained in the Bylaws of the University. Trustees are informed of this policy during Trustee orientation and the annual meeting. On an annual basis, each Trustee is asked to furnish a written statement indicating whether he or she is involved in any matter that poses an actual or potential conflict of interest. Trustees are expected to update the disclosure throughout the year as may be appropriate. After a trustee's disclosure of a potential financial or other conflict of interest, the chair of the Board of Trustees, in consultation with the University Counsel, determines whether the situation constitutes a conflict of interest requiring action by the Board. If the chair of the Board believes Board action is appropriate, the interested person must leave the Board meeting where the financial or other interest is discussed and voted upon, unless requested to stay either to respond to questions or provide information to the Board on the matter under discussion. The remaining board members decide if a conflict of interest exists and the appropriate course of action. Officers, key employees, faculty, and staff are covered by the University conflict of interest policy. Individuals are informed of this policy at the time of hire. The policy is contained in the Human Resources Policy Manual and is available to faculty and staff on the University's website. Upon identification of a potential conflict of interest, the matter is reviewed and evaluated by University officials and a determination is made regarding an appropriate action. The University has also adopted the Policy for Financial Conflict of Interest Disclosure and Management for Investigators in Externally Sponsored Programs in compliance with US Department of Health and Human Services regulations (42 CFR Part 50, Subpart F) and the financial conflict of interest policies of the National Science Foundation. Finally, the Office of Finance and Business Affairs, through the Office of the Controller, reviews carefully all proposed business transactions, expenditures, and requests for reimbursements to determine compliance with University policies, including those relating to conflict of interest.
Form 990, Part VI, Section B, Line 15The University's process for determining compensation for the president, officers, and key employees includes the following elements: (1) an authorized committee of the Board of Trustees composed entirely of individuals who are unrelated to, and not subject to, the control of disqualified persons involved in the compensation arrangement; (2) reliance on appropriate comparability data, including compensation levels paid by similarly situated organizations for functionally comparable positions; the location of the University, including the availability of similar specialties in the geographic area; independent compensation surveys by nationally-recognized independent firms; and written offers from similar institutions competing for the services of the disqualified person; and (3) documentation by the authorized body that adequately documents the basis for determination concurrent with making decisions regarding the compensation arrangement. The Executive Committee of the Board of Trustees serves as the compensation committee and follows this process annually. The compensation arrangement for the President, Provost, Executive Vice President, CFO, and other members of the Cabinet was most recently reviewed on April 15, 2022. Within the institution, appropriate comparability data is also obtained and reviewed for all other officers, key employees, and any other highly-compensated employees.
Form 990, Part VI, Section C, Line 19While applicable federal tax laws do not mandate that the University's articles of incorporation, conflict of interest policy, and financial statements be made available for public inspection, the University makes each of the foregoing available on its website, www.seattleu.edu, or upon request.
