This policy is intended to supplement but not replace any applicable state and federal laws governing conflict of interest applicable to nonprofit and charitable organizations. Article II Definitions 1. Interested Person Any director, principal officer, or member of a committee with governing board delegated powers, who has a direct or indirect financial interest, as defined below, is an interested person. 2. Financial Interest A person has a financial interest if the person has, directly or indirectly, through business, investment, or family: a. An ownership or investment interest in any entity with which the Organization has a transaction or arrangement, b. A compensation arrangement with the Organization or with any entity or individual with which the organization has a transaction or arrangement, or c. A potential ownership or investment interest in, or compensation arrangement with, any entity or individual with which the Organization is negotiating a transaction or arrangement. The 2020 Form 990 filing was the first tax year that required tax exempt organizations to file electronically. Prior to the 2020 tax year, Tricord filed its Form 990 returns in the correct format. Tricord prepared its own 2020 Form 990 and submitted the original paper Form 990 timely. Tricord incorrectly filed a physical Form 990, the first page of which showing the receipt date stamp is enclosed herein, on November 10, 2021 after your office approved the organization's Application for Extension of Time to File an Exempt Organization Return, approval enclosed herein.
