Part I-A, Line 1:Memorial Care Medical Foundation (MCMF), a subordinate of Memorial Health System, inadvertently paid a portion of dues for the American Physicians Group that included PAC contribution payments in the aggregate amount of $52,133.
Part I-B, Line 4a:Immediately upon discovering the error, MemorialCare Medical Group and Greater Newport Physicians appropriately reimbursed MCMF for the PAC contributions. MemorialCare will remind all leadership of its long-standing policy that the organization and its employees cannot participate on behalf of the organization in political activities.
Part II-B, Line 1:Four of the organizations included in this group return, Long Beach Memorial Medical Center, Orange Coast Memorial Medical Center, Saddleback Memorial Medical Center, and MemorialCare Medical Foundation paid annual dues to healthcare associations in which a portion was allocated for lobbying activities totaling $289,243. There were additional expenses totaling $2,615 for lobbying activities related to community health planning with local county agencies, elected officials, as well as their staff. Expenses totaling $79,576 were for activities for influencing legislation which would have a direct impact on the organization's ability to fulfill its charitable mission of serving the community's health care needs. Federal advocacy: -Provided expertise and advice to federal lawmakers and staff on ensuring access to healthcare services through advocacy efforts for the continued implementation of the Affordable Care Act. -Advocated for fiscal year (FY) 2022 appropriations funding for improvements to obstetrics clinic located at Long Beach Memorial Medical Center. -Advocated for COVID-19 relief funding for hospitals and physician practice sites for the American Rescue Plan Act of 2021, Coronavirus Aid, Relief, and Economic Security (CARES) Act, CARES Act 2.0 and HEROEs Act. -Advocated on the need for the 340B pharmacy program, requesting support from federal lawmakers and staff on efforts to influence agency proposed rule decision making. -Advocated on need for increased funding for the Children's Graduate Medical Education (CHGME) program. -Advocated on need to stop Disproportionate Share (DSH) cuts to hospitals. -Advocated on need for responsible process for addressing surprise billing related to in-network providers. -Advocated on need for reforms to Stark law and Anti-Kickback regulations to assist health systems to continue to improve and grow coordinated care models. State legislation advocated on: AB 650 - Requires health care employers to provide hazard pay retention bonuses to specified health care workers on January 1, 2022, April 1, 2022, July 1, 2022, and October 1, 2022. Permits an employer to seek an exemption in whole or in part from the payment of bonuses based on an inability to pay. AB 858 - This bill (1) prohibits a general acute care hospital (GACH) from limiting a worker providing direct patient care from exercising independent clinical judgement, as specified; (2) authorizes a worker who provides direct patient care at a GACH to override health information technology and clinical practice guidelines, as specified; and (3) prohibits a GACH from retaliating against a worker providing direct patient care for overriding health information technology and clinical practice guidelines. AB 1124 - Authorizes the Department of Managed Health Care (DMHC), no later than May 1, 2021 and until January 1, 2028, to authorize two pilot programs that allow health care providers to undertake risk-bearing arrangements with a voluntary employees' beneficiary association (VEBA), as defined under federal and state law with enrollment of greater than 100,000 lives, or a trust fund that is a welfare plan, and a multiemployer plan, as defined in federal law, with enrollment greater than 25,000 lives. AB 1130 - Establishes the Office of Health Care Affordability (office) within the Office of Statewide Health Planning and Development (OSHPD) and requires the office to analyze the health care market for cost trends and drivers of spending, create a state strategy for controlling the cost of health care and ensuring affordability for consumers and purchasers, and enforce cost targets. Establishes, within the office, the Health Care Affordability Advisory Board (board) and sets forth the composition and duties of the board, as defined. AB 1132 - This bill implements several components of the California Advancing and Innovating Medi-Cal (CalAIM) initiative proposed by Department of Health Care Services (DHCS). AB 1264 - Requires the Office of Statewide Health Planning and Development (OSHPD) to establish, develop, implement and administer one-year pilots, at a tele ECHO clinic, through the Project ECHO Grant Program to meet the behavioral health care needs of children and adolescents stemming from the coronavirus (COVID-19) pandemic. AB 1422 - This bill increases transparency of and public input on requests from health care facilities for "program flexibility" to comply with nurse staffing ratios. AB 2537 - Require that state hospitals must make available their highest seven-day consecutive daily average consumption of personal protective equipment (PPE) during the 2019 calendar year upon request from Cal/OSHA; provide that Cal/OSHA may enforce an alleged violation of these provisions using its citation procedures. SB 213 - This bill creates rebuttable presumptions that infectious disease, COVID-19, cancer, musculoskeletal injury, post-traumatic stress disorder or respiratory disease are occupational injuries for a direct patient care worker employed in an acute care hospital and are therefore eligible for workers' compensation benefits. SB 275 - Requires the Department of Public Health (CDPH) to establish a PPE stockpile for health care workers and essential workers in the state and requires health care employers, as specified, to establish a PPE inventory that is sufficient for at least 45 days of surge consumption. SB 293 - This bill would require the Department of Health Care Services (DHCS), on or before January 1, 2023, to identify all forms currently used by county mental health plan (MHPs) contractors to determine eligibility and reimbursement for specialty mental health services provided under the Early and Periodic Screening, Diagnostic, and Treatment (EPSTD) Program and to develop standard forms and a list of authorized non-standard forms. SB 637 - Requires hospitals to report weekly during a statewide health-related state of emergency, and monthly at all other times, information, including but not limited to, staffing, staffing shortages, bed counts, and patient census, and layoffs and furloughs, to the Department of Public Health (DPH) on a form and schedule determined by DPH. Requires DPH to publicly post the information. SB 642 - Prohibits a health facility from requiring a physician, as a condition of obtaining clinical privileges, to agree to comply with policies that are not ratified by the medical staff, that directly or indirectly restrict the ability of the physician to provide a particular medical treatment, or from requiring a physician to obtain permission from a nonphysician to perform a medical treatment for which consent has been obtained from the patient, unless the health facility lacks the equipment to provide the service, or a full review of the evidence by members of the medical staff determines that the care is not medically appropriate SB 682 - This bill establishes the End Racial Inequities in Children's Health in California Initiative (EnRICH CA Initiative), which requires the California Health and Human Services Agency (CHHSA) to convene an advisory workgroup to develop and implement a plan to reduce racial disparities in childhood chronic diseases by at least 50% by December 31, 2031; and subjects implementation of this bill on an appropriation in the annual Budget Act or another statute. SB 758 - Extends the existing deadline requiring general acute care hospitals (GACHs) to be fully operational after an earthquake by two years, from January 1, 2030, to January 1, 2032. SB 977 - Requires a health care system, a private equity group, or hedge fund to provide written notice to, and obtain the written consent of, the Attorney General prior to a change in control, acquisition, or joint venture between the entity and a health care facility or provider. 2021-2022 Budget - Advocated to support modifications to disaster preparedness and Office of Healthcare Affordability. Department of Managed Care - Advocate on regulatory guidance to support value-based models of care.

Group B-Facility 4 -- Saddleback Memorial Medical Center Part V, Section B, line 5:Targeted interviews and focus groups were used to gather information and opinions from persons who represent the community served by the facility. Fourteen (14) interviews were completed from January - March 2019. Community stakeholders identified by the hospital were contacted and asked to participate in the community health needs assessment. Interviewees included individuals who are leaders and/or representatives of medically underserved, low-income, and minority populations, local health or other departments or agencies that have current data or other information relevant to the health needs of the community. Input was obtained from the Orange County Health Care Agency, Jamboree Housing Corporation, Orange County Council of Aging, Laguna Woods Village, Age Well Senior Services, Family Assistance Ministries, Capistrano Unified School District, Camino Health Clinic, Saddleback Valley Unified School District, Orange County Community Services, Office on Aging, American Heart Association Orange Coast Division, and Families Forward. Two focus groups were conducted in February 2019 and engaged 22 persons. The focus group meetings were hosted by trusted community organizations: Family Assistance Ministries San Clemente and American Heart Association. An agency contact was available to answer questions at each focus group. At the beginning of each focus group, the purpose of the focus group and the community assessment were explained, the participants were assured their responses would not be attributed to them as responses would be aggregated. The focus group discussions were voice recorded for ease of documenting the discussion. The focus group participants were asked to share their perspectives on a wide range of issues relating to health and wellness of the community, including barriers and challenges and vulnerable populations.

Part I, Line 6a:Each facility prepares a separate community benefit report for the California Office of Statewide Health Planning and Development filing purposes. A consolidating schedule for the dollar amounts of charity & community benefit provided to the communities is prepared by the corporate office for the audited financial statements and the annual report.
Part I, Line 7:The amounts reported on Lines 7a, 7b, and 7c were calculated using a cost-to-charge ratio derived from Worksheet 2. The amounts reported on Line 7g were calculated using a cost accounting system that addresses all expenses from the consolidated income statement of each facility, and all patient care areas are included in the indirect allocation (inpatient, hospital billed outpatient and emergency room and external billed outpatient), with no exception by payer. Additionally, a cost allocation method based on reasonable allocation factors including: square footage, funding source, employee wages, and fair rental value, was used to include estimated expense for Lines 7f, 7h, and 7i. The amounts reported on Line 7e are direct costs from the general ledger.
Part I, Ln 7 Col(f):Implicit price concessions is recorded based on historical experience and collection trends for major payer types. These are amounts for which the patient or a guarantor is responsible and no other third party liability exists. A minimum of two statements will be sent to the patient or guarantor notifying them that the balance is due. After reasonable and customary collection efforts have been made and the liability remains outstanding for more than 120 days from the mailing date of the first bill, the account will be referred to an outside collection agency. At that time the account is written off to implicit price concessions. The unpaid patient portion of Medicare accounts will not be deemed uncollectible and sent to a collection agency until a minimum of 120 days have passed from the date of the first bill mailed to the beneficiary. The patient portion of a Medicare account will then be sent to a collection agency but will not be written off to implicit price concessions until it is returned from the collection agency after a determination that there is no likelihood of recovery. Unresolved accounts are returned to the facility by the collection agencies after they have performed all reasonable and customary collections efforts and determined that there is no likelihood of recovery.Payments are received for services under the Medicare and Medi-Cal programs and private managed care programs based on contract terms, and from other payers. Receivables from non-government payers are subject to differing economic conditions. Reserves associated with receivables are continually monitored and adjusted. Estimates of the implicit price concessions are based on historical collection experience.
Part II, Community Building Activities:The organizations included in this group return engaged in community building activities in the following categories during the year:Community Support - Staff from each facility identified in Part V of Schedule H participated in coalitions, on committees and on advisory and governing boards of community groups and public health agencies to addresshealth and wellness issues. Staff members also engage in community health planning activities, educational presentations, and consortia, summits, and meetings with community groups.Economic Development - Facility staff participated in economic development and Chambers of Commerce on issues impacting community health and safety.Coalition Building - Facility staff hold member, advisory committee, and governing body positions in local, regional, state and national health and welfare coalitions.Community Health Improvement Advocacy - Facility staff is involved in advocacy activities for improved health and wellness. Staff engages in local, state and national advocacy efforts that support access to health care.Workforce Development - The facilities staff participated in community programs that encourage careers in the health professions and promote diversity in health care careers. Staff members visited local schools to discuss careers in health care and shared their expertise as mentors to high school students.
Part III, Line 2:Bad debt (also referred to as implicit price concessions) is determined based on patient liability, irrespective of any previous payments or discounts on the account. For accounts with insurance coverage, once the insurance has paid, a statement is sent to the patient for their portion (deductible, co-pay, non-covered charges). For self-pay accounts, several options for discounts are available. After a set period of time, if payments are not made, the patient portion is written off as bad debt.
Part III, Line 4:Accounts receivable are reduced by implicit price concessions. In evaluating the collectability of accounts receivable, the Organization analyzes its past history and identifies trends for each of its major payer sources of revenue to estimate the appropriate implicit price concessions. Management regularly reviews data about these major payer sources of revenue in evaluating the sufficiency of the implicit price concessions. For receivables associated with services provided to patients who have third-party coverage, the Organization analyzes contractually due amounts and provides an implicit price concession, if necessary. For receivables associated with self-pay patients, which includes both patients without insurance and patients with deductible and copayment balances due for which third-party coverage exists for part of the bill, a significant implicit price concession is recorded in the period of service on the basis of its past experience. The difference between the standard rates, or the discounted rates if negotiated, and the amounts actually collected after all reasonable collection efforts have been exhausted is charged off against the implicit price concessions.
Part III, Line 8:The entire Medicare shortfall should be treated as a community benefit because the amount reflects the value of patient care services subsidized by the organizations. The organizations cannot collect the shortfall in reimbursement from the patient therefore, are providing a benefit to the community by offering services to Medicare beneficiaries at financial loss. This loss prevents the organizations from investing in other community benefit activities.
Part III, Line 9b:Once an account balance has been determined to be solely a patient responsibility, a minimum of two statements are sent to the patient or any identified guarantor notifying them of the amount due. If the patient liability remains unpaid despite reasonable and customary collection efforts, the account may be referred to an outside collection agency, and the collection agency will pursue reasonable and customary collection efforts. If at any time during this process the patient indicates financial hardship, the patient will be informed of the organization's Financial Assistance Policy. If all or part of a balance qualifies for charity care under the Financial Assistance Policy, that amount will be treated as charity care. The remainder, if any, remains classified as bad debt. When the collection agency determines there is no likelihood of recovery, the agency ceases all collection efforts, and notifies the organization. Collection procedures are applied consistently for all patients, regardless of insurance status. For those patients indicating financial hardship, the organization's Financial Assistance Policy will be followed to determine the extent to which charity care, low income financial assistance or extended payment plans may be available. Patients are informed of the Financial Assistance Policy and payment options by the patient statements provided at 30 day intervals up to 120 days from the first statement, and advised to contact the organization's Patient Financial Services department for more information about payment options or financial assistance that may be available. If a patient is not eligible for a government assistance program and the patient indicates a need for financial assistance or an extended payment plan, an application is promptly provided to the patient. No organization included in this group return or its agent or assignee (including a collection agency) will report adverse information to a consumer credit reporting agency or commence civil action against a patient for nonpayment at any time prior to 150 days after initial billing.
Part VI, Line 2:In addition to performing the community health needs assessment (CHNA), each facility identified in Part V of Schedule H engages a Community Benefit Oversight Committee, which is led by community members and supported by facility staff. This Committee meets regularly to identify and discuss community health needs and possible resources to meet those needs. Each facility has made its most recent FY 2019 CHNA available on its public website, and has asked for public comments to solicit additional information and input on community health needs. Facility staff actively participate in local collaborative groups that convene to identify and address community health and welfare needs. Members of facility staff serve on a number of community organization governing boards and advisory bodies to public health agencies, and information obtained from this active community involvement factors into identification of community health needs.
Part VI, Line 3:Each facility identified in Part V of Schedule H posts notices informing the public of its financial assistance program in the emergency service area and other high volume inpatient and outpatient areas. In addition, notices are posted in patient financial services and collection departments, and on the facility's website. These notices are posted in English and Spanish and any other languages that are representative of 5% or more of the patients in the facility's service area. Each facility offers brochure about the program, which expressly states that facility staff will help patients identify all of their options and assist patients in applying for assistance, and provides contact information for the facility's program and governmental programs. Part I, Line 7Certain executives receive part of their overall compensation in the form of an annual incentive payment. Several financial and non-financial metrics are utilized in the formula for the incentive compensation, and these metrics and the formula are reviewed and approved each year in advance by the Compensation Committee of the board of directors of the sole member of each organization. Payment of any incentive compensation must be approved by the Compensation Committee after it has reviewed the metrics to determine whether they have been met and the amount of the payments (if any) based on the approved formula.
