MPGA is exempt from income taxes on related business income under Section 501(c)(4) of the Internal Revenue Code. The Company and MPGA file separate informational tax returns. The Company could be required to record an obligation for income taxes as the result of a tax position they have historically taken on various tax exposure items including unrelated business income or tax status. Under guidance issued by the Financial Accounting Standards Board (FASB), assets and liabilities are established for uncertain tax positions taken or positions expected to be taken in income tax returns when such positions are judged to not meet the "more-likely-than-not" threshold, based upon the technical merits of the position. Estimated interest and penalties, if applicable, related to uncertain tax positions are included as a component of income tax expense. The Company has evaluated the positions taken on its filed informational tax returns. The Company has concluded no uncertain income tax positions exist at December 31, 2020.

Howes, President, Teresa Nizza, Chief Human Resources Officer, Sandra Monfiletto, Chief Operating Officer, Dr. Johnathan Harvey, Chief Medical Officer, and Kristen Vallaincourt, Director of Executive Office. The total cost for these memberships was $4,326.
Part I, Lines 4a-bSchedule J, Line 4a, Severance Payments: During its tax year ending December 31, 2020, Martin's Point Health Care made severance payments to two of its highest compensated employees. Sandra L. Monfiletto, who served as the Organization's COO of Delivery Systems, and Heather Mullen, who served as the Organization's COO of Health Plans, received severance payments of $449,246 and $175,789, respectively. These payments were included in the employees' 2020 Form W-2, Box 5 wages, and the amounts are included in these individuals' compensation as reported on 2020 Form 990, Schedule J, Page 2, Part II, Line B(iii). Schedule J, Line 4b, Supplemental Non-Qualified Retirement Plans: Martin's Point Health Care, Inc. (the "Company"), established a Supplemental Executive Retirement Plan (the "Plan"), effective as of January 1, 2020, in order to help the Company recruit and retain highly qualified executives and reward them for their contributions to the success of the Company. The Plan is intended to constitute an unfunded plan maintained primarily for the purpose of providing deferred compensation to a select group of management or highly compensated employees, within the meaning of Sections 201(2), 301(a)(3), and 401(a)(1) of Employee Retirement Income Security Act of 1974, as amended ("ERISA"). The Plan is intended to be exempt from Section 409A of the Internal Revenue Code of 1986, as amended (the "Code"), by reason of the short-term deferral exception described in Treasury Regulations Section 1.409A-1(b)(4). The Plan shall be administered in a manner that is consistent with such intent and consistent with the requirements of Section 457(f) of the Code regarding the taxation of deferred compensation. Non-qualified plan compensation was accrued in 2020 and paid out as taxable compensation in 2021. Payments were made to David H. Howes ($103,915), Jonathan E. Harvey ($61,215), Amanda Jackson ($24,375), Daniel McCormack (16,875) and Teresa Nizza ($52,696). As these payments were not made until 2021, none of the compensation or benefits reported on the Organization's 2020 Schedule J, Part II are adjusted for the non-qualified plan. In accordance with IRS Guidance and Instructions, taxable payments and distributions made from the plan will be included in the applicable individuals' compensation as reported on the 2021 Schedule J.
Part I, Line 7Some of the compensation for individuals listed in Part VII of Form 990 is calculated through the Achievement Plan (The Plan). The Plan is an earned bonus which is variable based on obtaining a combination of corporate goals. The goal of the Achievement Plan is to focus employees on meeting critical performance measures.
Form 990, Part VII, Section A, Line 5:David Currier is a non-voting member of the board of directors serving as an officer in the role of secretary. Mr. Currier bills for his time spent devoted to his duties on the board of directors through his law firm. Form 990, Part III, Line 4a & 4b:Martin's Point Health Care is a not-for-profit organization serving our community's health care needs with the highest-quality care and coverage. As an organization providing both direct health care services and health insurance plans, we are uniquely positioned to fulfill our mission to create a healthier community through authentic relationships built on trust. At Martin's Point, everything we do is driven by our mission to improve the health and well-being of our community. As a provider of both health care and coverage, we touch the lives of thousands of our patients and health plan members every day. Through focused efforts in the areas of prevention, care management, access, education, and quality, we are achieving measurable successes in improving the health and well-being of those we serve. PROVIDING HIGH-QUALITY PRIMARY CARE In 2020, Martin's Point Health Care: - Served over 88,000 patients through family medicine, pediatrics, internal medicine, cardiology, sports medicine, cosmetic dermatology, physical therapy, and more. Many patients were also able to take advantage of onsite radiology, pharmacy, and laboratory services. - Hosted community events and provided services to keep the senior population active - both physically and mentally - through activities such as weekly lunches, yoga, healthy living seminars, and much more. - Continued integrating behavioral health services at many of our locations (including Brunswick Farley Road, Brunswick Baribeau Drive, Portland, Gorham, and Scarborough). - Continued work on our model of care where physicians and other medical staff are grouped into "care teams." Through this team set-up, they are able to more effectively work together to anticipate patients' needs, better coordinate their care, and help create better health outcomes and experiences. - Provided $51,799 of financial assistance to patients who were unable to pay for services. ADMINISTRATING THE US FAMILY HEALTH PLAN Martin's Point offers a TRICARE Prime plan for select groups throughout the Northeast. Our plan members receive comprehensive benefits and quality care. In 2020, Martin's Point Health Care: - Served as one of six contracted health plan administrators to the Department of Defense of the US Family Health Plan for military beneficiaries. Through this plan, Martin's Point serves families of active-duty personnel, including activated National Guard and Reserve, and military retirees and their families across Northern New England, Upstate New York, and Northern Pennsylvania. In 2020, our US Family Health Plan served more than 46,000 members. In over 40 years of providing this TRICARE Prime option, we have consistently earned high marks for customer service and member satisfaction. - The Martin's Point US Family Health Plan received a 4.5-out-of-5 overall rating from The National Committee on Quality Assurance (NCQA) for its access to quality care, prevention and wellness efforts, management of chronic diseases, and overall quality of member experience. NCQA uses measures of clinical quality (HEDIS) and patient experience (CAHPS) and Standards from the NCQA Accreditation process to rate health plans. COMMITTED TO TRANSFORMING THE HEALTH CARE SYSTEM Martin's Point is leading the way to transform the health care system in the communities we serve and beyond. We are dedicated to participating in, and creating opportunities to share, innovative solutions with others towards our common goal of creating a sustainable, quality health care delivery system, both in Maine and throughout the nation. Our work is driven by three principles: 1) to improve the experience of care, 2) to improve health outcomes, and 3) to reduce overall costs. To achieve these goals, we are working to make systemic changes to the way primary care is delivered and coordinated. In 2020, Martin's Point Health Care: - Continued to enhance our Primary Care Comprehensive Payment model to encourage and reward quality care and a better health care experience. - Participated as a member of the national Alliance of Community Health Plans, which is comprised of 20 of the top performing community and regional non-profit health plans. MARTIN'S POINT - MAKING A DIFFERENCE IN OUR COMMUNITY Martin's Point is committed to making a difference and improving lives in the communities we serve. In addition to doing this through our services for patients and members, the organization also serves as a leader in the philanthropic community. Direct Medical Services for our Community: To support our neediest members of our community, we provide free care on a sliding scale. In 2020, we provided over $100,000 of services and $160,000 for prescription drugs to uninsured and underinsured members of our community through this program. We also offer a prompt pay discount for amounts not covered by insurance which reduced costs for the uninsured by almost $50,000 in 2020. In addition to these charitable programs, we wrote off over one and a half million dollars in amounts uncollected from individual members of our community who were unable to make payments. All of our services are available to Medicare and Medicaid patients. These government programs do not pay the full cost of services provided. Unlike some local for-profit physician's practices, Martin's Point provides services under these programs to everyone as a benefit to the community. In 2020, the cost of services provided exceeded reimbursements by more than ten million dollars. Supporting the Community During the Pandemic: The extraordinary events of the pandemic had significant impact on Martin's Point, especially at our care delivery sites. Fee for service revenue from our clinics dropped to just thirty percent of expected levels in April and was almost twelve million dollars lower than expected, a twenty-four percent decrease, for the year. Martin's Point is proud of our efforts to support the health and stability of our community during this time. We were able to retain connection with almost 99% of our patients and to keep our staff 100% employed. When patient visits decreased, we supported innovations like drive through testing, conversion of one of our call centers into a vaccine clinic, and build-outs in our primary care facilities to convert exam rooms to handle the added risks of treating patients who were in critical need and also highly contagious. Direct costs associated with these activities totaled three million dollars in 2020. While our services and service revenue decreased, we kept all our staff fully employed, helping to keep our local economy relatively stable during the turbulence of pandemic. We did not furlough any of our employees nor did we have lay-offs. Full employment, as compared to reducing staff to meet demand, cost an estimated eleven million dollars in 2020. Since the beginning of the pandemic, we have supported remote work for all but our patient facing staff. We also spent the last quarter of 2020 preparing our vaccine clinic to open as vaccine became available in 2021. This effort was setting the stage for over 40,000 vaccines we were able to distribute in 2021. In 2020, Martin's Point Health Care: - Contributed over $400,000 in financial support to over 100 health care and community nonprofit organizations, agencies, and groups throughout Maine, New Hampshire, and New York. - Employees personally and collectively contributed $167,342 of their wages to their local United Ways and other charities, which Martin's Point matches, dollar for dollar. - Employees from across the organization also actively volunteered their own time to represent Martin's Point Health Care in significant fundraising events for the American Diabetes Association, American Heart Association, Maine Cancer Foundation, Maine Lung Association, Preble Street, and many more. Martin's Point is proud to support our employees in their efforts and ability to make a difference in our communities. Thus, Martin's Point provides a volunteer time-off policy which makes it easier for our employees to do direct volunteer service and serve on community boards and committees. - Martin's Point is proud to provide paid time off for our employees to volunteer at local not-for-profits. In 2020, this totaled to over 1,200, hours, which represents about $50,000 in wages to employees for volunteer time. Martin's Point donated over $400,000in monetary support to over 100 community partners and efforts in which our employees are engaged.
